About Us The Prime Developer is a US commercial real estate firm based in Austin, Texas. We develop, lease, and manage retail and flex properties across Texas, working with franchise brands, local businesses, and investors. We are building our team in India to support US operations during US business hours.

The Role

We're looking for a detail-oriented legal professional to support our leasing, acquisition, and franchise deals. You'll review and draft deal documents and give leadership clear legal and financial analysis.

Responsibilities

- Review, draft, and redline a variety of agreements, including but not limited to Contracts, Leases, Operating Agreements, and other legal documents, to ensure compliance with company policies and applicable laws and regulations.
- Draft, review, and negotiate Letters of Intent (LOIs) for commercial real estate and ensure LOIs accurately reflect key business terms including purchase price, earnest money, due diligence periods, financing contingencies, closing timelines, lease terms, and exclusivity provisions.
- Review Franchise Disclosure Documents (FDDs) for prospective franchise tenants and summarise key terms, fees, obligations, and red flags
- Prepare legal and financial analysis of deals, tenants, and properties, including tenant financials,



guarantees, and lease economics
- Analyze financing terms related to interest rates, maturity dates, covenants, collateral requirements, prepayment provisions, default remedies, and lender conditions.
- Coordinate with lenders, title companies, attorneys, and internal teams during financing, refinancing, and loan closing processes.
- Maintain and organize legal records, transaction files, and corporate documentation and Organize and maintain in company shared drives (Google Drive, Dropbox).
- Prepare legal notices, correspondence, summaries, and compliance reports.
- Ensure compliance with federal, state, and local real estate regulations and company policies.) add to the descprition for Legal assosiate and give new descprions
- Coordinate with the US team, brokers, title companies, and outside counsel

Qualifications

- LLB/LLM, or a paralegal qualification
- 2+ years of experience reviewing or drafting contracts; US commercial real estate experience (leases, purchase agreements, LOIs) is a plus
- Familiarity with FDDs and franchise agreements is a strong plus
- Able to read financial statements and explain deal terms in easy language
- Excellent written English and strong attention to detail
- Comfortable handling multiple deals at once

Location: Gachibowli, Hyderabad, India. (WFH option for women employees only) Pay: ₹30,000.00 - ₹60,000.00 per month
