We are looking for an Associate to join our

Investment Funds practice

, with experience in advising domestic and international fund managers, private equity and venture capital funds, institutional investors and portfolio companies on fund formation, investments and regulatory matters

Key Accountabilities:

- Advise clients on formation, structuring and operation of investment funds, including AIFs and other pooled investment vehicles.

- Advise fund managers and sponsors on SEBI AIF Regulations and other applicable regulatory requirements.

- Assist in drafting, reviewing and negotiating Private Placement Memorandums (PPMs), contribution agreements, investment management agreements, subscription documents and other fund documentation.

- Support clients on fundraising and investor onboarding, including review of investor-related documentation.

- Advise on private equity and venture capital investments, including term sheets, subscription/share purchase agreements and transaction documentation.

- Conduct legal and regulatory due diligence in connection with fund investments and transactions.

- Advice on investment restrictions, compliance, governance,



reporting and regulatory filings applicable to funds.

- Work with clients on downstream investments, exits, co-investments and secondary transactions.

- Coordinate with tax, corporate, regulatory and other specialist teams on fund structuring and transactions.

- Independently manage assigned workstreams while coordinating with Partners/Senior Associates and clients.

Desired Skills and Competencies:

- Strong understanding of SEBI AIF Regulations and fund structures.

- Exposure to PE/VC investments, fund formation, investor documentation and regulatory advisory.

- Robust drafting, analytical and research skills.

- Good communication and client-management skills.

- Ability to work independently and manage multiple transactions/deadlines.

Good to Have:

- Internships with the funds team of a leading law firm

Experience and Education:

- Qualification:

LL.B. from a reputed law school.

- Experience:

0-2 years PQE in Investment Funds / Private Equity / Venture Capital / General Corporate.

Candidates from Ahmedabad or from Gujarat are preferred.
