About the role

We are looking for a Senior Legal Counsel to lead commercial contracting and intellectual property matters across the Bank. You will be a trusted advisor to business, product, technology, marketing and partnerships teams. Your job is to enable growth while protecting the Bank's regulatory standing, customer data and brand. This is a hands-on role for someone who can draft and negotiate independently, give quick, practical advice, and take ownership of outcomes.

What you'll do

Commercial contracts
• Draft, review and negotiate a wide range of commercial agreements, including:
• technology and SaaS agreements
• vendor and outsourcing agreements
• marketing, co-branding and customer acquisition agreements
• banking and partnership agreements
• NDAs, service agreements, and leave-and-licence or lease agreements
• Negotiate directly with counterparties and their counsel, protecting the Bank's position on liability, indemnity, data protection, audit rights and termination.
• Make sure contracts meet RBI requirements, including outsourcing of financial services,



IT outsourcing, digital lending, KYC and customer protection.
• Build and maintain standard templates, clause libraries, playbooks and negotiation fallback positions.
• Manage the contract lifecycle: approvals, execution, stamp duty compliance, repository, renewals and obligation tracking.

Intellectual property
• Manage the Bank's trademark portfolio: clearance searches, filings, prosecution, oppositions, renewals and enforcement.
• Advise on IP ownership, licensing and assignment in technology development, vendor and marketing agreements.
• Review marketing campaigns, brand collaborations and advertising content. This covers trademark use, copyright, advertising standards (ASCI) and RBI fair-practice requirements.
• Advise on software licensing, including open-source usage, and on protecting the Bank's proprietary technology and confidential information.
