The ideal candidate will have a proven track record of successfully managing corporate governance responsibilities, ensuring compliance with legal and regulatory requirements, and facilitating effective communication between the board of directors and senior management. Responsibilities will include preparing and filing legal documents, organizing board meetings, maintaining corporate records, and advising on corporate governance issues. Solid communication, organizational, and analytical skills are essential for this role. The successful candidate will work closely with senior leadership to ensure the company operates in accordance with all relevant laws and regulations. Previous experience in a similar role and a qualified certification as a Company Secretary are required.
Job Description
Serve as the main point of contact for all corporate governance and compliance matters
Maintain statutory registers and ensure all filings are made with Companies House
Schedule and prepare agendas for board and committee meetings
Take minutes and follow up on action items from meetings
Manage relationships with external stakeholders such as auditors and regulators
Keep abreast of changes to relevant legislation and advise senior management accordingly
Assist with the preparation and filing of annual accounts and other regulatory documents
Provide guidance on corporate governance best practices
Conduct due diligence for corporate transactions
Support the implementation of corporate policies and procedures.
