Arora Shekhar & Company is a boutique firm of Practising Company Secretaries advising startups, VC-backed companies, multinational groups and established businesses on corporate law, governance, transactions and regulatory matters.
Our work goes beyond routine compliance and includes corporate structuring, transaction advisory, due diligence, shareholder agreements, FEMA matters, secretarial audits, NCLT matters and corporate governance advisory.
Role Overview
We are looking for a Semi-Qualified Company Secretary who is keen to build a career in professional practice and gain exposure to a broad range of corporate and transactional assignments.
The role will involve working directly with the Partners and the professional team on client assignments, with significant exposure to Companies Act matters, corporate compliances, board processes, transactions and advisory work.
Key Responsibilities
- Corporate Secretarial & Compliance
- Handling routine and event-based compliances under the Companies Act, 2013 and applicable rules.
- Preparation and review of statutory forms, registers, notices, agendas, minutes and resolutions.
- Assisting in preparation and maintenance of statutory records and corporate documentation.
- Monitoring compliance calendars and ensuring timely completion of statutory filings.
- Assisting with annual filings, event-based filings, changes in directors/shareholding, allotments, transfers, charges and other corporate actions.
2. Board & Governance
- Preparation of Board and General Meeting notices, agendas, explanatory statements and minutes.
- Assisting in drafting Board/Shareholder resolutions and related documentation.
- Supporting clients in maintaining appropriate corporate governance practices.
- Coordinating with clients, directors, auditors, legal counsel and other professional advisors.
3. Transaction & Advisory Assignments
- Assisting in due diligence exercises and preparation of due diligence reports.
- Supporting equity fundraises, share transfers, preferential allotments, rights issues, ESOPs and other corporate transactions.
- Assisting in drafting/reviewing transaction documents such as SHA, SSA, MoU and related corporate documentation.
- Supporting FEMA and cross-border transaction assignments.
- Conducting legal and regulatory research under the Companies Act, FEMA, SEBI regulations and other applicable laws.
4. Secretarial Audit & Other Professional Assignments
- Assisting in secretarial audit assignments.
- Preparation of working papers, checklists and compliance reviews.
- Assisting in NCLT and other regulatory matters, wherever required.
- Supporting preparation of professional opinions, notes and client communications.
Candidate Profile
We are looking for someone who:
- Has completed the CS Executive Programme and is pursuing/completing the CS Professional Programme,
or is otherwise a semi-qualified CS.
- Has 1–4 years of relevant experience, preferably in a Practising Company Secretary firm, law firm or corporate legal/secretarial function.
- Has a sound understanding of the Companies Act, 2013 and related rules.
- Has good drafting and documentation skills.
- Is comfortable researching legal and regulatory provisions.
- Has good written and verbal communication skills.
- Is proficient in MS Word and Excel.
- Is detail-oriented and capable of managing multiple assignments and deadlines.
- Is willing to take ownership of assignments and interact with clients.
