About the Company
We are a listed Non-Banking Financial Company (NBFC) looking for a Company Secretary to manage the company's corporate secretarial, regulatory and compliance functions.
The candidate should have practical experience in NBFC compliances, Companies Act matters and listed-company compliances, with specific exposure to companies listed on / dealing with the Calcutta Stock Exchange (CSE).
Key Responsibilities
- Corporate Secretarial & Companies Act Compliance
- Manage all statutory and secretarial compliances under the Companies Act, 2013.
- Prepare agendas, notices, minutes and documentation for Board and General Meetings.
- Maintain statutory registers, records and corporate documents.
- Handle ROC/MCA filings and other statutory submissions.
- Coordinate with auditors, legal advisors and other professionals.
- Listed Company & Stock Exchange Compliance
- Handle compliances applicable to a listed company.
- Manage stock exchange filings, disclosures and correspondence.
- Coordinate with the Calcutta Stock Exchange (CSE) and other relevant authorities.
- Handle corporate announcements, shareholding disclosures, annual filings and other applicable listing-related compliances.
- Monitor changes in SEBI, MCA, stock exchange and other regulatory requirements.
- NBFC Regulatory Compliance
- Handle RBI compliance requirements applicable to the NBFC.
- Assist in regulatory reporting, returns, inspections and correspondence with RBI.
- Maintain and monitor NBFC statutory and regulatory compliance calendars.
- Coordinate with management, auditors and consultants on RBI/NBFC matters.
- Keep the Board and management updated on significant regulatory changes affecting the NBFC.
- Board & Governance
- Support the Board of Directors and senior management on corporate governance matters.
- Ensure timely conduct and documentation of Board, Committee and General Meetings.
- Prepare Board notes, resolutions and compliance updates.
- Advise management on Companies Act, SEBI, RBI and other applicable regulatory requirements.
- Corporate Actions & Other Matters
- Assist in share transfers, allotments, rights/bonus issues and other corporate actions, wherever applicable.
- Handle changes in directors, KMP, authorised signatories and other corporate records.
- Coordinate with RTA, depositories, stock exchange, ROC, RBI and other authorities.
- Assist in due diligence, restructuring, fundraising, acquisitions and other strategic corporate matters.

- RBI-regulated entities
- NBFC corporate restructuring / regulatory matters
- Board-level compliance and governance will be given preference.
