Role Overview
We are looking for an experienced
Associate Partner – Corporate Secretarial with solid expertise in Company Law, Secretarial Compliance, Corporate Governance and Secretarial Audit. The ideal candidate should be a
Practising Company Secretary (PCS)
with hands-on experience in managing corporate compliance, advising clients on corporate matters and coordinating with regulatory authorities.
Key Responsibilities
- Ensure timely compliance for
100+ Private Limited Companies, LLPs and Unlisted Public Companies under the Companies Act and applicable rules, including annual filings.
- Prepare and review
Board Resolutions, Shareholders' Resolutions, Notices, Agendas, Minutes and other corporate secretarial documents
.
- Coordinate and participate in
Board Meetings, General Meetings and other statutory meetings
.
- Draft and review
Corporate Contracts, Memorandums of Understanding (MoUs)
and other corporate documentation.
- Handle and supervise statutory filings, including
XBRL filings
, with relevant regulatory authorities.
- Manage the incorporation of Private Limited Companies and LLPs
, including end-to-end incorporation-related compliances.
- Lead and mentor a team of professionals and employees, ensuring timely and accurate delivery of client assignments.
- Provide corporate secretarial and regulatory consultancy on matters including business expansion, corporate restructuring, mergers, demergers, incorporation and other corporate law matters.
- Advise clients on
Corporate Governance and statutory compliance requirements
.
- Provide guidance on registration and protection of Intellectual Property (IP) assets of companies.
- Coordinate with various government and regulatory authorities, including
RoC Mumbai, RoC Pune, Regional Director – Mumbai, DGFT Pune and other applicable authorities.
- Assist clients in obtaining various certificates, registrations and licences under FEMA and related regulations
, including IEC, RCMC and EPCG licences.
- Conduct and/or assist in
Secretarial Audits and prepare Secretarial Audit Reports in accordance with applicable provisions of the Companies Act and Secretarial Standards.
- Review statutory registers, records, minutes, filings and other secretarial documents as part of Secretarial Audit and compliance assignments.
- Identify compliance gaps and recommend appropriate corrective actions to clients.
- Stay updated on amendments to
Companies Act, SEBI regulations, FEMA, Secretarial Standards and other applicable corporate laws
.
- Manage client relationships and independently handle complex corporate secretarial assignments.
Candidate Profile
- Qualification:
Associate/Member of the Institute of Company Secretaries of India (ICSI);
PCS qualification is mandatory/preferred
.
- Strong practical knowledge of the
Companies Act, Secretarial Standards and Corporate Secretarial Compliances
.
- Hands-on experience in
Secretarial Audit is required.
- Experience in handling
Private Limited Companies, LLPs and Unlisted Public Companies
.
- Strong experience in
MCA/ROC filings, XBRL filings, incorporation and corporate restructuring
.
- Experience in dealing with
ROC, Regional Director, DGFT and other government authorities
.
- Knowledge of
FEMA-related registrations and compliances will be an advantage.
- Strong drafting skills with the ability to independently prepare corporate resolutions, notices, minutes, agreements and other legal/secretarial documents.
- Proven experience in team management and client handling
.
- Excellent communication, analytical and problem-solving skills.
- Ability to independently manage multiple clients and assignments while ensuring timely delivery
