Job Purpose The Company Secretary will be responsible for ensuring statutory and regulatory compliance of the Company under applicable corporate laws and regulations. The role will involve managing corporate secretarial activities, statutory records, Board and shareholder-related matters, regulatory filings, and coordination with internal and external stakeholders.
Key Responsibilities
- Ensure compliance with the Companies Act, applicable rules, regulations, and other relevant corporate laws.
- Maintain statutory registers, records, minutes books, and other secretarial documents of the Company.
- Prepare notices, agendas, minutes, resolutions, and supporting documents for Board Meetings and General Meetings.
- Coordinate and assist in conducting Board Meetings, Annual General Meetings, and other statutory meetings.
- Handle statutory filings with the Ministry of Corporate Affairs (MCA) and other applicable regulatory authorities within prescribed timelines.
- Monitor important statutory due dates and maintain a compliance calendar.
- Assist in preparation and filing of Annual Return, financial-related statutory forms, and other applicable MCA forms and returns.
- Ensure proper maintenance and updating of the Company's statutory registers and records.
- Draft and review Board resolutions, shareholder resolutions, declarations, authorizations, and other corporate documents.
- Coordinate with Directors, management, auditors, consultants, legal advisors, and other professional stakeholders.
- Assist in matters relating to appointment, resignation, remuneration, and other statutory requirements concerning Directors and Key Managerial Personnel, wherever applicable.
- Support the Company in corporate governance and secretarial compliance matters.
- Maintain records relating to shareholding, share transfers/transmissions, allotments, and other corporate actions, wherever applicable.
- Monitor changes in applicable laws and regulations and advise management regarding their impact on the Company.
- Assist in preparation of statutory and regulatory documentation required for the Company's business operations.
- Maintain confidentiality of sensitive corporate, legal, financial, and management information.
- Perform other secretarial, compliance, and corporate governance responsibilities assigned by the management from time to time.
Qualifications
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- Bachelor's degree in Commerce, Law, Business Administration, or a related field will be preferred.
- Additional legal or corporate compliance qualifications will be an advantage.
Experience
- Experience:
2–5 years of relevant experience in corporate secretarial and compliance functions.
- Experience in handling MCA filings, Board Meetings, statutory registers, and corporate documentation.
- Experience in a manufacturing company or private limited company will be preferred.
Required Skills
- Strong knowledge of Companies Act and applicable corporate compliance requirements.

- Good working knowledge of MS Office, particularly Word and Excel.

Pay: ₹30,000.00 - ₹50,000.00 per month
