Job Title: Company Secretary –

About The Role
We are looking for an experienced and detail-oriented Company Secretary to manage corporate governance, statutory compliance and transaction-related corporate documentation for our Capital House.
The role will involve working closely with the management, investment team, legal advisors, portfolio companies and other professional advisors to ensure that all corporate actions and investment transactions are properly structured, documented and compliant with applicable laws and regulations.
Key Responsibilities Corporate Secretarial &
- Compliance
- Manage all statutory and regulatory compliances under the Companies Act, 2013 and applicable regulations.
- Handle incorporation, alteration, share transfers, allotments, preferential issues, rights issues, private placements and other corporate actions.
- Prepare and maintain statutory registers, records and corporate documentation.
- Draft notices, agendas, minutes and resolutions for Board and General Meetings.
- Coordinate and assist in conducting Board Meetings, General Meetings and other corporate meetings.
- Ensure timely filing of statutory forms with the Registrar of Companies and other regulatory authorities.
- Maintain proper corporate records and documentation.
Investment &
- M&A; Transactions
- Support the investment team on the legal and corporate secretarial aspects of investments and M&A; transactions.
- Review corporate structures, shareholding patterns and capitalization tables of target companies.
- Conduct/coordinate corporate secretarial due diligence of target and portfolio companies.
- Review constitutional documents, shareholder agreements, investment agreements and other transaction documents from a corporate compliance perspective.
- Assist in structuring investments, acquisitions,
share purchases and exits.
- Coordinate with external legal counsel, auditors, consultants and other transaction advisors.
- Ensure that required corporate approvals and filings are completed before and after transactions.
- Assist with documentation relating to acquisition, investment, divestment and restructuring transactions.
Portfolio Company Support
- Monitor corporate compliance of portfolio companies.
- Coordinate with the management/CS teams of portfolio companies regarding corporate actions and statutory matters.
- Track important compliance deadlines and corporate governance requirements.
- Assist the investment team in monitoring key corporate and governance matters within portfolio companies.
Governance &
- Risk
- Ensure appropriate corporate governance practices across the organization.
- Identify potential compliance and governance risks and escalate them to management.
- Maintain a compliance calendar and ensure timely completion of obligations.
- Keep management updated on relevant changes in corporate laws and regulations.
Candidate Profile
- Qualified Company Secretary (CS).
- 3–8 years of relevant experience in corporate secretarial, legal, investment, M&A;, private equity, venture capital or corporate advisory environments.
- Strong knowledge of the Companies Act, SEBI regulations and applicable corporate laws.
- Experience with corporate actions, private placements, share transfers and investment transactions.
- Experience in M&A; / investment transactions will be strongly preferred.
- Strong understanding of corporate governance and transaction documentation.
- Excellent drafting, documentation and communication skills.
- Ability to coordinate effectively with management, investors, lawyers, auditors and external advisors.
- Strong attention to detail and ability to manage multiple transactions simultaneously.
