: Chief Financial Officer (CFO)
Location: Hyderabad
Experience: 15 years, including at least one end-to-end Mainboard IPO
Qualification: Chartered Accountant (mandatory). An MBA (Finance) or CS/CMA is a plus.
About the Role
We are looking for a strategic and hands-on CFO to lead our finance function and take the company through a Mainboard IPO (NSE/BSE). The ideal candidate has managed the entire listing process, from IPO readiness to listing day, and can build a finance, governance, and compliance framework that meets the standards of a listed company.
Key Responsibilities
- Lead IPO readiness, including financial, legal, and governance gap assessments
- Plan and manage the full IPO timeline, from pre-IPO restructuring to listing and post-listing compliance
- Prepare restated financial statements and coordinate with Big4 statutory auditors.
- Manage the DRHP, RHP, and Prospectus, including SEBI and exchange queries and observations
- Coordinate with the BRLMs/merchant bankers, legal counsel, registrar, auditors, and underwriters
- Lead due diligence, including verification of financial disclosures, and handle the ROC, SEBI, and stock exchange filings
- Drive pre-IPO fundraising, valuation discussions, roadshows, and investor and analyst meetings
- Ensure compliance with SEBI (ICDR) Regulations and the Companies Act, 2013
- Partner with the Board and promoters on business strategy, capital structure, and long-term financial planning
- Lead budgeting, forecasting, business planning,
and fund-raising (equity and debt)
- Oversee treasury, cash flow, working capital, and banking relationships
- Drive M&A;, restructuring, and fund-deployment decisions
- Oversee accounting, consolidation, and reporting under Ind AS
- Build strong internal financial controls, risk management, and internal audit frameworks
- Ensure compliance with SEBI (LODR), insider trading regulations, and other listed-company requirements
- Manage statutory, tax (direct and indirect), and transfer-pricing compliance
- Present quarterly and annual results to the Board and Audit Committee, and oversee stock exchange disclosures
- Act as the key point of contact for investors, analysts, institutional shareholders, and regulators
- Build and mentor a high-performing finance, accounts, and compliance team
Required Skills and Experience
- Proven experience handling a Mainboard IPO end-to-end (SME-only listing experience will not meet this requirement)
- In-depth knowledge of SEBI ICDR, LODR, the Companies Act, Ind AS, and Indian taxation
- Experience working with investment bankers, auditors, legal advisors, and regulators
- Solid track record in fund-raising, financial modelling, and valuation
- Excellent leadership, stakeholder-management, and communication skills
- High integrity, with the ability to work closely with promoters and the Board
Good to Have
- Prior CFO or Deputy CFO experience in a listed or IPO-bound company
