Job Title: Assistant Vice President/Deputy Vice President – Legal
Location: Mumbai, Maharashtra

About the Role
We are seeking an experienced AVP / DVP – Legal to lead and manage legal matters across the investment lifecycle. The role will work closely with the Investment, Finance, Compliance and senior management teams, as well as external legal counsel, investors, trustees, counterparties and other stakeholders.
The position requires a legal professional with strong transactional, commercial and execution-oriented capabilities, particularly in debt, structured finance, real estate investments and alternative investments.
The successful candidate will be expected to independently manage legal workstreams from initial transaction evaluation and structuring through due diligence, documentation, execution, security perfection, portfolio management, restructuring, enforcement and recovery.
A high degree of ownership, attention to detail, commercial judgement and accuracy in analysing transaction structures, legal documentation, security arrangements and regulatory requirements is essential.
Key Responsibilities
Transaction Legal Execution & Closure
- Take end-to-end ownership of the legal execution of investment transactions from term sheet to financial close.
- Ensure the approved transaction structure is fully and accurately reflected in all legal documentation.
- Identify legal gaps and risks upfront and ensure their closure before disbursement/investment.
- Maintain transaction-level legal checklists and ensure that no material legal deliverable remains outstanding at closing.
Legal Due Diligence & Risk Mitigation
- Lead and coordinate legal due diligence covering corporate, title, regulatory, contractual, litigation, financing, insolvency and asset-level matters.
- Identify material legal risks and ensure appropriate conditions precedent, undertakings, covenants and security protections are incorporated.
- Maintain legal risk trackers and ensure closure of critical observations before investment.
Documentation & Contractual Protection
- Draft, review and negotiate Term Sheets, Investment/Subscription Agreements, Debenture Documents, Facility Agreements, Security Documents, Escrow/TRA Agreements, Guarantees, Pledge, Mortgage, Hypothecation and Assignment Documents.
- Ensure documentation is legally robust, internally consistent and adequately protects the Fund's interests.
- Ensure appropriate representations, warranties, covenants, events of default and enforcement rights are documented.
Security Creation & Perfection
- Take complete ownership of the creation, registration and perfection of security.
- Ensure proper execution and registration of mortgage, pledge, hypothecation, assignment, guarantees, ROC, CERSAI and other applicable filings.
- Verify that all security is valid, enforceable and properly perfected.
- Maintain security and perfection trackers and ensure timely closure of all outstanding actions.
Conditions Precedent & Post-Closing Compliance
- Own the CP/CS and post-closing legal process for each investment.
- Ensure all approvals, legal opinions, undertakings, registrations, filings, original documents and other closing deliverables are received and properly recorded.
- Maintain complete, accurate and audit-ready transaction legal files.
Portfolio Legal Management
- Monitor compliance with covenants, undertakings, reporting obligations, security requirements and other contractual protections.
- Review and legally structure waivers, amendments, restructuring, refinancing and additional security arrangements.
- Ensure no waiver, amendment or concession is implemented without appropriate documentation and approval.
Default, Enforcement & Recovery
- Ensure the Fund's contractual and security rights remain preserved and enforceable upon default or covenant breach.
- Support the Investment/Recovery Team on default notices, guarantee invocation, security enforcement, restructuring, settlement and recovery actions.
- Coordinate enforcement proceedings under IBC, SARFAESI and other applicable laws, wherever relevant.
- Ensure all legal remedies and statutory timelines are appropriately monitored and acted upon.
Legal Policies, SOPs & Governance
- Take a key role in designing, implementing and periodically reviewing internal legal policies, procedures, SOPs and control frameworks for the Investment Manager.
- Develop standardised processes for transaction approvals, legal due diligence, documentation, security creation and perfection, CP/CS management, contract management, portfolio monitoring, defaults and enforcement.
- Establish appropriate legal controls and approval matrices to ensure consistency, accountability and regulatory compliance.
- Continuously strengthen the organisation's legal framework based on transaction experience, regulatory developments and identified risks.
Management Legal Advisory
- Advise the CEO, senior management and Investment Team on legal, regulatory, contractual and risk-related matters affecting the business and investments.
- Provide timely and practical legal advice on new business initiatives, investment structures, commercial arrangements, disputes, regulatory matters and strategic decisions.
- Identify potential legal exposures proactively and recommend commercially practical risk-mitigation measures.
- Keep management informed of material legal and regulatory developments relevant to the Fund and Investment Manager.
External Counsel Management
- Act as the primary legal interface with external law firms and advisors.
- Define scope, deliverables and timelines and ensure that external counsel provides timely, commercially relevant and actionable advice.
- Review legal opinions, diligence reports and transaction documents before they are relied upon internally.
- Manage legal budgets and ensure effective utilisation of external counsel.
Legal Governance & Documentation Control
- Establish and maintain standard legal templates, precedents, checklists, trackers and transaction processes.
- Maintain complete records of executed agreements, security documents, legal opinions, approvals and statutory filings.
- Ensure a centralised, accurate and audit-ready legal repository across the Investment Manager and its portfolio.
- Provide periodic legal MIS to senior management covering transactions, CPs, security perfection, portfolio compliance, defaults, litigation and recoveries.
Qualifications & Experience & Skills
- LL.B. / LL.M. from a reputed institution.
- 10–15 years of relevant post-qualification experience in transactional and corporate / financial services law.
- Prior experience with AIFs, private equity funds, private credit funds, real estate funds, NBFCs, investment managers, REITs or structured finance platforms will be preferred.
- Strong hands-on experience in debt transactions, structured finance, real estate transactions, security documentation and enforcement.
- Experience in managing complex transactions independently and working directly with senior management and external counsel.
- Strong expertise in investment, debt and structured finance transactions, including legal drafting, negotiation, due diligence, security creation and perfection, enforcement and recovery. Sound working knowledge of SEBI/AIF regulations, Companies Act, securities and debt regulations, IBC, SARFAESI and other applicable laws.
- Strong commercial and investment orientation with the ability to understand transaction objectives, assess legal and structural risks, and develop practical risk-mitigation solutions. Demonstrated ability to independently drive transactions from structuring through documentation, closing and post-closing, with exceptional attention to detail and execution discipline.
- Ability to work effectively with senior management, Investment and Finance teams, trustees, counterparties and external counsel, while taking ownership of legal outcomes. Experience in developing legal policies, SOPs, governance frameworks and standard processes, managing external advisors and ensuring robust, consistent and well-controlled legal operations.
