Company Secretary – M&A; & Corporate Restructuring
Experience: 1–3 Years
Qualification: Qualified Company Secretary (CS)
Role Overview
We are looking for a Qualified Company Secretary with 1–3 years of relevant experience to join our M&A; and Corporate Restructuring practice. The role will involve end-to-end implementation of M&A; and corporate restructuring transactions, along with opportunities to work on regulatory research and advisory matters.
Key Responsibilities
• Draft NCLT schemes, applications, petitions, affidavits, notices and other transaction-related documents.
• Manage NCLT filings, hearings, follow-ups and post-approval compliances.
• Support M&A; and corporate restructuring transactions, including:
• Fund raising
• Buybacks
• Capital reduction
• Transfer of shares
• Issue and allotment of shares
• Other corporate restructuring transactions
• Coordinate with clients, valuers, auditors, legal advisors and other stakeholders for seamless transaction execution.
• Manage transaction timelines, documentation,
ROC filings and Companies Act compliances.
• Conduct research on Companies Act, FEMA, taxation and other regulatory aspects relevant to M&A; and restructuring transactions.
• Assist in transaction planning, execution and closure.
Candidate Profile
• Qualified Company Secretary (CS).
• 1–3 years of relevant experience in M&A;, corporate restructuring, NCLT matters or transaction implementation.
• Strong drafting, coordination and research skills.
• Good understanding of the Companies Act and corporate compliances.
• Prior exposure to NCLT proceedings, ROC filings or corporate transactions will be an advantage.
• Solid communication and stakeholder-management skills.
• Candidates with a genuine interest in M&A; and corporate restructuring are preferred.
