General Position Information Reports directly to (Title):Manager - Legal Matrix reports to (Title):Sr Counsel Direct Reports:Individual contributor; no direct reports Created / Last Revised:- Job Code:- Position Summary: The Corporate Secretarial Analyst supports HCA Healthcare’s legal operations by executing routine legal entity filings, maintaining official corporate records, drafting related documents, and keeping legal entity information complete, current, and readily accessible. The role supports a large and complex portfolio of legal entities and works closely with U.S. Corporate Legal, Tax, Finance, M&A;, registered agents, filing vendors, and other internal partners.

The analyst prepares and processes filings, maintains minute books and electronic entity records, updates entity data, tracks deadlines, supports ownership-structure reporting, and identifies missing or inconsistent information for resolution.

The role is highly process-oriented and involves executing repeatable legal entity governance activities by following detailed standard operating procedures (SOPs),



approved templates, decision trees, and quality-control processes. Success requires the ability to recognize patterns across large volumes of legal entities while identifying exceptions that require unique application, escalation, and/or attorney review.

As the Global Capability Network (GCN) function matures, this role is expected to contribute to process optimization, standardization, automation initiatives, and the continuous refinement of operating procedures. Responsibilities: Legal Entity Filings & Workflow Management
