A. Job Objective

To independently manage and progressively assume broader responsibility for ACGs Legal, Secretarial & Compliance function, providing commercially balanced legal support, ensuring solid corporate governance and regulatory compliance, and proactively identifying and mitigating legal risk across the organisation.
B. Primary responsibilities

• Independently manage the Legal, Secretarial & Compliance function and progressively assume broader functional responsibility, building effective succession capability. Provide strategic, practical and commercially balanced legal advice to the Board, senior management and business teams, clearly articulating risks, available alternatives and recommended mitigation.
• Oversee the drafting,



review and negotiation of commercial contracts and other legal documentation.
• Own company secretarial and corporate governance matters, including ROC/MCA compliance, Board and Committee processes, shareholder matters, statutory filings and registers, related-party transactions, secretarial audit, corporate actions, restructuring and governance policies.
• Establish and monitor group-wide legal and regulatory compliance frameworks, policies and controls, including a compliance calendar, legal risk register, regulatory change monitoring and periodic reporting to senior management.
• Manage litigation, disputes and investigations through a central tracker covering strategy, financial exposure, settlement or closure, external counsel performance and legal spend.
