The Prospect
We are looking for an Associate in the Transaction Advisory - Legal team at Mumbai, with 1 - 3 years of experience in Private Equity/Venture Capital, M&A;, and General Corporate matters. This role offers the opportunity to work closely with founders, investors, and businesses on transactions and corporate advisory assignments.

Key Responsibilities
• Support the execution of Private Equity, Venture Capital, and M&A; transactions.
• Conduct legal due diligence and identify key legal and regulatory risks.
• Draft, review, and negotiate transaction documents, including term sheets, investment agreements, shareholders’ agreements,



and other corporate contracts.
• Advise on general corporate, commercial, and contractual matters.
• Undertake legal research and assist in preparing opinions, notes, and transaction-related documentation.
• Coordinate with clients, counterparties, and other professional advisors to ensure timely execution of assignments.
• Monitor applicable legal and regulatory developments relevant to clients and transactions.

Qualifications & Experience
• LL.B. degree from a recognised university or law school.
• 1 - 3 years of relevant experience in Private Equity/Venture Capital, M&A;, and General Corporate matters.
• Strong understanding of corporate and commercial laws, transaction structures, and investment documentation.
• Excellent legal drafting, research, analytical, and communication skills.
• High attention to detail, sound judgement, and a solution-oriented approach.
• Ability to manage multiple assignments,
