Role Purpose
Responsible for overseeing the finance and financial reporting of Indian and overseas subsidiaries, ensuring timely and accurate closure of books, compliance with applicable accounting and regulatory requirements, effective coordination with statutory auditors, and preparation of consolidated financial statements and annual
reports.
The role will provide strong oversight of subsidiary financial performance, related party transactions, consolidation, audit requirements and regulatory reporting, while ensuring high standards of financial governance and reporting across the Group.
Key Responsibilities
1. Subsidiary Financial Closure
Oversee the monthly, quarterly and annual closure of books of accounts of Indian and overseas subsidiaries.
Ensure timely completion of financial close activities and adherence to Group accounting policies.
Review subsidiary financial statements, trial balances, schedules,
reconciliations and key accounting estimates.
Ensure appropriate accounting treatment for inter-company transactions,
provisions, accruals, revenue recognition and other significant items.
Establish and monitor financial close timelines and ensure adherence across subsidiaries.
Identify unusual or material movements and ensure timely resolution.
2. Consolidation of Financial Statements
Lead the preparation of line-by-line consolidated financial statements of the Group.
Ensure accurate consolidation of Indian and overseas subsidiaries in accordance with applicable accounting standards.
Review consolidation adjustments, inter-company eliminations and unrealised profit eliminations.
Ensure appropriate treatment of foreign currency translation and overseas subsidiary financial information.
Prepare and review consolidation workings, supporting schedules and disclosures.
Coordinate with subsidiary finance teams to resolve consolidation-related issues.
3. Statutory Audit & Auditor Coordination
Act as the key finance coordinator with statutory auditors of the Company and subsidiaries.
Coordinate with overseas auditors and ensure timely completion and sign-off of subsidiary financial statements.




Ensure signed financial statements and other required documents are obtained from subsidiaries within agreed timelines.
Provide financial information, schedules and supporting documentation required by the Indian statutory auditors.
Coordinate audit queries, observations and closure of audit matters.
Ensure audit deliverables are aligned with applicable SEBI LODR and other regulatory requirements.
4. Related Party Transactions

Review and monitor related party transactions across Indian and overseas subsidiaries.
Ensure completeness and accuracy of related party transaction reporting and disclosures.
Coordinate with legal, tax, secretarial and business teams on related party matters.
Ensure appropriate accounting, documentation and disclosure of related party transactions in financial statements and annual reports.
5. Annual Report & Financial Reporting
Lead the finance-related preparation and closure of the Annual Report.
Coordinate with auditors, secretarial, legal, investor relations and other stakeholders for financial reporting requirements.
Review financial statements, notes to accounts, accounting policies and financial disclosures.
Ensure consistency and accuracy of financial information presented across the Annual Report and regulatory filings.
Support preparation of management discussions, financial highlights and other financial information required for reporting.
6. Financial Analysis & Management Reporting
Analyse consolidated and subsidiary-level financial performance.
Review revenue, profitability, margins, working capital, cash flows and key financial ratios.
Identify significant variances against budgets, forecasts and prior periods.
Provide meaningful financial insights to senior management and the Group CFO.
Highlight financial risks, unusual trends and areas requiring management attention.
7. Governance & Internal Controls
Ensure subsidiaries comply with Group financial policies, accounting standards and reporting requirements.
Strengthen financial controls and reporting processes across subsidiaries.




Monitor inter-company balances and ensure timely reconciliation and confirmation.
Establish standardised reporting formats and processes across Indian and overseas entities.
Support internal audit and control reviews and ensure timely resolution of observations.
8. Overseas Subsidiary Oversight
Work closely with finance teams of overseas subsidiaries across different jurisdictions.
Understand and monitor local statutory reporting requirements while ensuring alignment with Group reporting policies.
Coordinate with local auditors, tax advisors and finance teams.
Ensure timely submission of financial information required for Group consolidation and regulatory reporting.
Monitor foreign exchange translation and other accounting implications arising from overseas operations.
Key Deliverables

Timely completion and sign-off of subsidiary financial statements.
Smooth statutory audit and closure of audit observations.
Accurate related party transaction reporting and disclosures.
Timely completion of Annual Report financial sections.
Compliance with applicable accounting standards, SEBI LODR and other reporting requirements.
High-quality financial analysis and management reporting.
Strong governance over Indian and overseas subsidiary finance functions.

Ideal Candidate Profile
15+ years of experience in finance and accounting, preferably within a listed IT / Technology / IT Services organisation.
Strong experience in group consolidation, subsidiary accounting and financial reporting.
Experience managing Indian and overseas subsidiaries.
Robust understanding of Ind AS / IFRS, consolidation principles and financial statement preparation.
Experience working with statutory auditors and Big 4 / reputed audit firms.
Strong understanding of SEBI LODR and listed-company financial
reporting requirements.
Experience in related party transactions and financial statement disclosures.
Strong analytical and problem-solving capabilities.
Excellent stakeholder management skills with the ability to work across finance, audit, legal, secretarial, tax and business teams.
Experience with ERP systems and financial consolidation/reporting tools would be an advantage.
