RackBank Datacenters
Bengaluru
About the Organisation:
RackBank Datacenters is an Indian AI infrastructure company that builds and operates hyperscale, AI-ready data centres, offering high-density GPU hosting, colocation and in-house liquid immersion cooling. The group's campuses are located in Indore, Raipur and Mumbai, including the Raipur AI Data Centre Park, planned at 80 MW in its first phase with scope to grow to 160 MW.
NeevCloud is the group's GPU cloud platform, providing AI compute as a service to Indian enterprises, startups and public sector customers. Together, the two businesses cover the full value chain, from land, power and cooling through to the cloud layer. It is a capital-intensive model, and access to capital at the right cost and at the right time is central to the group's growth plans.
Job Title: Head of Capital Formation
Location: Mumbai or Bengaluru, with regular travel to group sites in Indore and Raipur and to investor markets in India, Singapore, the Middle East, the US and Europe
Role Overview:
The group is appointing its first dedicated leader for capital raising. The Head of Capital Formation will design and deliver a multi-year funding programme across equity, project finance, asset-backed debt, and vendor and export credit financing, and will own the financial models that investors and lenders rely on.
This is a highly visible role with direct access to the Founder and CEO and the Board. It will suit a seasoned capital markets professional who has led transactions from the first model through to funds in the bank, and who appreciates that in AI infrastructure, the timing and cost of capital shape the build programme as much as construction or GPU supply.
Key Responsibilities:
Capital Strategy and Fundraising
- Develop the group's multi-year capital plan with the CFO and CEO, setting the right mix of equity, project-level debt, holding company debt and hybrid instruments for each phase of expansion.
- Lead equity raises with private equity and infrastructure funds, sovereign wealth funds, family offices and strategic investors, covering positioning, investor targeting, the pitch deck, information memorandum, data room and management presentations.
- Originate and close debt financing, including project finance, GPU and receivables-backed facilities, ECBs, vendor and OEM financing, export credit agency and DFI funding, and green or sustainability-linked instruments.
- Build and manage a structured investor and lender pipeline across India and international markets, and lead roadshows alongside the CEO and CFO.
- Appoint and manage investment banks, legal counsel and diligence advisors, and negotiate valuation, term sheets, covenants, security packages and transaction documents through to disbursement.
- Identify state data centre incentives, capital subsidies and national AI compute programmes, and build them into the funding plan.
Financial Modelling and Valuation
- Own the integrated group financial model and the project models for each campus and phase, covering capex per MW, power and PUE economics, GPU pricing and utilisation, contracted capacity and GPU residual values.
- Model debt metrics including DSCR, LLCR, leverage and covenant headroom, with sensitivities on pricing, utilisation, power tariffs, currency and interest rates.
- Lead valuation work using DCF, sum of the parts and comparable transactions, and defend the numbers through investor and lender due diligence.
Financial Planning and Liquidity
- Work with the finance team on the annual operating plan, rolling forecasts and monthly MIS.
- Own the group cash flow forecast, liquidity runway and drawdown schedule, so that capital is in place ahead of construction and deployment milestones.
Investor Relations and Governance
- Manage communication with investors and lenders, including board packs, quarterly updates and covenant compliance reporting.
- Maintain the cap table and ESOP modelling, and lay the groundwork for IPO readiness over time.
- Ensure capital transactions comply with FEMA, FDI, ECB, Companies Act and Ind AS requirements, working closely with the CFO and legal counsel.
Measures of Success:
- Equity and debt committed and disbursed in line with the Board-approved capital plan and deployment timeline.
- A competitive cost of capital, with sensible dilution, tenor and covenant terms.
- Quarterly forecasts that hold within 10 percent, and models that stand up to diligence.
- At least 12 months of forward liquidity runway and no covenant breaches.
- Timely and accurate reporting to the Board, investors and lenders.
In the first year, the expectation is to have the models and capital plan in place within 90 days, the first equity or debt tranche closed within six months, and the next build phase fully funded within twelve months.
The Ideal Candidate:
Experience and Qualifications
- 10 to 15 years of experience with capital raising at the core of the career, gained in investment banking, project or leveraged finance, an infrastructure fund, or by leading fundraising within an operating company.
- A personal track record of leading or co-leading raises totalling USD 100 million (approximately INR 800 crore) or more, including at least one equity round and one project or structured debt transaction. Candidates should be able to discuss these deals in detail.
- Background in a capital-intensive sector such as data centres, cloud, telecom and towers, renewable energy, power or infrastructure.
- Strong hands-on modelling skills, with the ability to build and stress test a project finance model.
- Established relationships with funds, banks, NBFCs and DFIs in India and in at least one international market.
- CA, CFA or MBA in Finance.
Preferred
- Fundraising experience for data centres, GPU cloud or hyperscale infrastructure in India or the wider Asia Pacific region.
- Exposure to GPU or asset-backed financing, OEM vendor financing or export credit facilities.
- Experience with green bonds, sustainability-linked loans or DFI funding from institutions such as IFC, ADB or AIIB.
- Exposure to pre-IPO preparation, IPOs, or InvIT and REIT structures.
- Experience of setting up a fundraising or investor relations function in a high-growth business.
Personal Attributes
- Credible and composed in front of boards, investment committees and credit committees.
- Commercially sharp, with sound judgement in balancing speed, cost and control in a transaction.
- Comfortable building from the ground up in an entrepreneurial, founder-led environment.
- High integrity and a robust sense of ownership.
What's on offer:
- The opportunity to lead capital raising for one of India's few vertically integrated AI infrastructure platforms.
- Direct exposure to the Founder and CEO and the Board, with genuine ownership of outcomes.
- A leadership-level compensation package with meaningful long-term incentives.
