Job Description:
Position: Associate Legal and Compliance
Required Skills: Having Experience in IPO Process
Qualification: CS and LLB
Experience: 2 yrs to 3yrs in Corporate Law
Key Responsibilities
IPO & Capital Markets Compliance
• Lead and support legal and compliance activities related to Initial Public Offering (IPO), rights issues, QIPs, preferential allotments, and other capital market transactions.
• Coordinate with merchant bankers, legal counsels, auditors, registrars, stock exchanges, and regulatory authorities throughout the IPO process.
• Assist in drafting, reviewing, and validating Draft Red Herring Prospectus (DRHP), Red Herring Prospectus (RHP), Prospectus, offer documents, and regulatory filings.
• Ensure compliance with SEBI regulations, Companies Act, stock exchange requirements, and other applicable laws.
• Conduct legal due diligence and support remediation of identified compliance gaps before listing.

Corporate Governance & Secretarial Compliance




• Ensure compliance with the Companies Act, SEBI (LODR) Regulations, Insider Trading Regulations, and other corporate governance requirements.
• Support Board and Committee meetings, including preparation and review of agendas, resolutions, minutes, and governance documentation.
• Monitor and implement corporate governance best practices for listed entities.
• Assist in maintaining statutory registers, corporate records, and regulatory filings.

Regulatory Compliance
• Develop, implement, and monitor compliance frameworks, policies, SOPs, and internal controls.
• Ensure timely filing of disclosures and returns with SEBI, Stock Exchanges, ROC, and other regulatory bodies.
• Track regulatory developments and assess their impact on business operations.
• Manage compliance certifications and periodic compliance reviews.

• Draft, review, negotiate, and manage commercial contracts, vendor agreeme
