Position: Senior Associate– Corporate Commercial

About the Role
We are seeking a Senior Associate to join our Corporate Commercial practice. The role involves independently handling the drafting, review and negotiation of a wide range of commercial contracts for domestic and international clients. You will work closely with partners and clients, and supervise junior associates.

Key Responsibilities:
1. Draft, review and negotiate commercial contracts such as MSA, SLA, SaaS and Technology Agreements, Customer and Vendor Agreements, MoUs, Data Processing Agreements, Tender and Procurement related Agreements etc.
2. Support M&A; and PE/VC transactions including conducting due diligence, draft,



review and negotiate transaction documents such as Term Sheets, SHAs, SPAs, SSAs etc.
3. Draft legal notices, opinions, and client advisories.

Key Requirements:
1. LL.B. from a recognised university and enrolment with a State Bar Council.
2. Minimum 3 years PQE in corporate and commercial law.
3. Solid legal drafting, analytical and research skills, with the ability to independently review agreements and identify contractual risks.
4. Ability to manage multiple assignments, meet deadlines and work with limited supervision.
