Unitec Fibres Limited is a Mumbai-based recycling and sustainable materials company manufacturing recycled polyester fibres and developing creative circular-economy solutions.

Unitec Fibres is a BSE SME-listed company, and we are looking for a qualified Company Secretary to manage the Company's corporate, statutory and listed-company compliance requirements.

Role The Company Secretary & Compliance Officer will be responsible for ensuring 100% compliance with BSE, SEBI, MCA and Companies Act requirements, while supporting the Board and management on governance and regulatory matters.

Key Responsibilities
BSE SME & SEBI Compliance: Manage all listing-related compliances, stock exchange filings, disclosures, corporate announcements and regulatory submissions.
Corporate Secretarial: Manage Board, Committee and General Meetings, agendas, notices, resolutions, minutes and statutory registers.
Regulatory Filings: Ensure timely and accurate filings with BSE, SEBI, MCA and other applicable authorities.
Corporate Governance: Advise the Board and management on Companies Act, SEBI, listing regulations, related-party transactions and other governance matters.
Compliance Management:



Maintain the Company's compliance calendar, monitor regulatory changes and ensure closure of all statutory and listing requirements within prescribed timelines.
Stakeholder Management: Liaise with BSE, SEBI, RTA, auditors, merchant bankers, legal counsel and other regulatory stakeholders.
Documentation & Risk: Maintain robust corporate records and proactively identify and mitigate compliance risks.

Qualifications & Experience
Qualified Company Secretary (CS) with membership of ICSI.
Prior experience in a listed company is strongly preferred, ideally with BSE/SME listing exposure.
Solid knowledge of SEBI, BSE listing requirements, Companies Act and corporate governance.
Hands-on experience with stock exchange filings, disclosures, Board processes and statutory compliance.
Excellent attention to detail, organisation and written communication.
Experience in a manufacturing, textile, recycling or sustainability-focused business is an advantage.

A hands-on, detail-oriented skilled who can own the Company's entire compliance function, with particular emphasis on ensuring that Unitec Fibres remains fully compliant as a BSE SME-listed company.
