Unimarks Legal Solutions is an IP and commercial law firm with offices in Chennai, Cochin and Hyderabad. We advise startups, MSMEs and growing companies on contracts, brand protection, compliance and disputes.

About the role

We are looking for a lawyer who has drafted and negotiated commercial contracts on their own, not just reviewed them against a checklist. You will own client agreements from first draft to signature, advise founders and business teams on contract and compliance risk, and support our litigation and arbitration team on commercial disputes.

What you will do

Draft, review and negotiate commercial agreements, including MSAs, SaaS and licensing agreements, NDAs, SOWs, MoUs, vendor and distribution agreements, employment and consultancy agreements, and leave and licence deeds.

Build and maintain the firm’s contract templates and clause library, with fallback positions for common negotiation points.

Spot legal and commercial risk in a transaction and explain it to clients in plain language, with a practical way forward.

Advise clients on regulatory and corporate compliance, including Companies Act filings, labour law registrations, and consumer protection issues.

Support due diligence for investments, acquisitions and business transfers.

Assist in commercial disputes: notices, pleadings, case strategy,



and arbitration and mediation proceedings.

Work with our IP team on IP clauses, assignments and licences inside commercial contracts.

Mentor junior associates on drafting standards and review quality.

What we are looking for

LLB (3 year or 5 year) from a recognised university, enrolled with a State Bar Council.

2 to 5 years in contract drafting and negotiation, at a law firm or in-house.

Clear evidence of independent drafting. You should be able to show us agreements you drafted from scratch.

Working knowledge of the Indian Contract Act, 1872, the Specific Relief Act, 1963, the Arbitration and Conciliation Act, 1996, the Companies Act, 2013, and the IT Act, 2000.

Good written English. You should be able to write a clean client email as well as a tight clause.

Comfort dealing directly with clients and business stakeholders.

Valuable to have

Exposure to arbitration or institutional ADR (MCIA, MCC or similar).

Familiarity with IP licensing, trademark assignments or technology transactions.

Experience with contract lifecycle management tools or legal operations.

Tamil, Malayalam or Telugu, for client work across our three offices.
