Role overview
We are looking for an experienced Fund Manager to lead the fund's investment activity, from
fundraising and deal origination through to portfolio management and exits. The Fund Manager
will be part of the fund's Key Investment Team and will report to the Chair of the Investment
Committee.

Key responsibilities
• Support fundraising and manage relationships with domestic and overseas investors,
including investor reporting.
• Source, evaluate and structure PE/VC investment opportunities across sectors.
• Build a pipeline of investment opportunities through the PhillipCapital platform, promoters,
bankers and co-investors.
• Lead comprehensive commercial, financial and operational due diligence, financial
modelling, valuation and investment recommendations to the Investment Committee.
• Prepare detailed investment memorandums for Investment Committee review.
• Structure and negotiate investments across equity and structured credit instruments
(CCDs, CCPS, NCDs, OCDs).
• Negotiate term sheets and shareholder agreements, including governance and investor




protection rights, and drive transaction execution through to closing.
• Represent the fund on portfolio company boards and monitor performance.
• Plan and execute exits through IPOs, strategic sales, secondary sales or buybacks.
• Ensure compliance with SEBI (AIF) Regulations, fund documents and internal policies,
including conflicts of interest.
• Build and lead a small investment team as the fund grows.

Requirements
• 12–18 years of experience, including at least 10 years in private equity, private credit,
special situations or structured finance in India.
• Proven track record of leading at least 5 investments end to end, including at least 2 exits.
• Experience with both equity and structured credit transactions in mid-market companies.
• Experience serving on portfolio company boards; exposure to fundraising or investor
relations preferred.
• CA, MBA (Finance) from a tier 1 university or CFA.
