Summary

Audax is hiring a commercially-minded Legal Counsel to support commercial contracting and governance activities for the business, based in India and reporting to the Lead, Legal. This is a hands-on role and will primarily support the procurement function, providing day-to-day legal advice on a broad range of procurement and commercial contracts, and supporting corporate governance and company secretarial matters.



The role operates within established legal frameworks and escalates higher-risk or non-standard matters to the Lead, Legal.

What You'll Do:

• Draft, review, and negotiate a broad range of agreements — including NDAs, MSAs, SOWs, and IT supply agreements.
• Pragmatic and able to exercise sound commercial judgement and provides practical risk-based solutions that enables the business objectives while appropriately managing legal and regulatory risks within approved frameworks.
• Support governance activities, including preparing agendas, papers, minutes, and resolutions for board and general meetings.
• Support company secretarial obligations, including statutory filings, HQ reporting requirements, and adherence to corporate governance policies.
• Negotiate standard and bespoke agreements in adherence to the company’s policies, procedures and regulatory requirement
