Job Summary
We are looking for an experienced and strategic Head – Trusteeship to lead trusteeship operations, regulatory compliance, business development, and client relationships. The candidate will oversee debenture trusteeship, security trusteeship, debt securities, and structured finance transactions.
Key Responsibilities
• Lead the overall trusteeship business, including strategic planning, operations, and business growth.
• Develop new business opportunities and maintain relationships with banks, NBFCs, AMCs, financial institutions, and corporate clients.
• Oversee debenture trustee and security trustee operations, including trust deed execution and transaction documentation.
• Monitor security creation, charge registration, security perfection, and covenant compliance.
• Ensure compliance with applicable SEBI regulations, Companies Act provisions,



and other regulatory requirements.
• Oversee regulatory filings, audits, inspections, and reporting.
• Manage risks related to covenant breaches, defaults, and enforcement proceedings.
• Coordinate with legal teams, lenders, issuers, and regulators.
• Lead and mentor trusteeship, operations, and compliance teams.
• Drive process improvement, automation, and operational efficiency.

Required Skills
• Robust expertise in debenture and security trusteeship.
• Knowledge of SEBI regulations and Companies Act provisions.
• Expertise in debenture trust deeds and security documentation.
• Understanding of structured finance and debt capital markets.
• Strong risk management and compliance knowledge.
• Excellent client relationship management and business development skills.
• Leadership, strategic thinking, and decision-making abilities.
