Executive – Legal
Role Overview
The role will primarily focus on drafting, reviewing, vetting, negotiating and finalising commercial and business agreements. The ideal candidate should have robust legal drafting skills, sound contractual interpretation, attention to detail and the ability to convert business requirements and negotiated terms into clear, accurate and legally enforceable documentation.
Key Responsibilities
A. Agreement Drafting, Review & Contract Management
• Draft, review, vet, revise and finalise a wide range of agreements and legal documents, including service agreements, commercial contracts, Memoranda of Understanding (MoUs), Letters of Intent (LoIs), term sheets, leave and licence agreements, intellectual property (IPR) licence agreements, amendments, addenda, renewals and other contractual documents.
• Prepare agreements from scratch based on business requirements, commercial understanding, agreed deal terms and inputs received from internal stakeholders.
• Develop, update and maintain standard agreement templates,



clause banks and drafting formats to ensure consistency and reduce turnaround time.
• Review contractual clauses relating to scope of services, payment terms, deliverables, service levels, confidentiality, intellectual property, representations and warranties, indemnity, limitation of liability, termination, dispute resolution, governing law and other relevant commercial and legal provisions.
• Identify ambiguous, inconsistent or high-risk clauses; recommend suitable drafting changes and propose appropriate legal safeguards to protect the Company’s interests.
• Translate commercial negotiations and business requirements into precise contractual language, ensuring that agreed terms are accurately reflected in the final document.
• Coordinate with Business Teams and other internal stakeholders to obtain inputs, clarify requirements, resolve drafting comments and close open issues before finalisation.
