Associate - General Corporate, M&A;, PE/VC

About the Role
We are looking to hire an Associate for our General Corporate, Mergers & Acquisitions (M&A;), Private Equity (PE) and Venture Capital (VC) practice. The ideal candidate should have relevant experience in corporate transactions, investment deals, and general corporate advisory, with strong drafting, negotiation, and analytical skills.
Key Responsibilities
- Advise clients on mergers and acquisitions, private equity investments, venture capital transactions, and other corporate matters.
- Draft, review, and negotiate transaction documents, including Share Purchase Agreements (SPAs), Shareholders’ Agreements (SHAs), Share Subscription Agreements (SSAs), and investment agreements.
- Conduct and coordinate legal due diligence and prepare due diligence reports.
- Assist in structuring and executing domestic and cross-border transactions.
- Advise on corporate restructurings, joint ventures, and other strategic transactions.
- Undertake legal research and prepare notes and opinions on applicable corporate laws and regulatory requirements.
- Coordinate with clients, counterparties, internal teams, and other stakeholders to ensure timely execution and closing of transactions.
Candidate Requirements
- LL.B. degree from a recognised university.
- 2+ years of post-qualification experience in General Corporate, M&A;, PE/VC transactions.
- Prior experience in a tier 1/2 law firm is preferred.
- Strong drafting, negotiation, legal research, and analytical skills.
- Ability to manage multiple transactions and work effectively in a fast-paced workplace.
- Excellent communication and stakeholder management skills.
