What this Board needs protected

The institution's licence to grow rests on the quality of its lending, funding, customer treatment and control setting. The independent director will sit across the Audit, Risk, NRC and CSR agenda, bringing the ability to see how a commercial decision migrates through credit behaviour, liquidity, collections, provisioning, reputation and regulatory accountability.
This is not a role for a specialist who views risk only through policy limits. The Board requires an individual who can interrogate portfolio movement at cohort and segment level, recognise when apparent stability is being produced by restructures or collection practices, and judge whether capital and liquidity remain adequate under a plausible operating shock. The director must also understand that conduct failures can begin in target design, vendor incentives or digital journeys long before they become complaints.

The mandate in practice

The appointee will challenge credit strategy using vintage curves, roll rates, concentration, collection efficiency,



loss emergence and collateral realisation rather than a single gross-NPA number. Product approval papers should show the customer need, risk appetite consumed, operational readiness, model limitations, adverse-case economics and accountable owner after launch.
Funding and asset-liability oversight will require close attention to tenor mismatches, refinancing dependence, encumbrance, covenant headroom and liquidity under name-specific stress. The director should insist that contingency actions are executable within the time shown in the stress test—not merely available in theory.
On Audit Committee matters, the member will examine expected-credit-loss governance, management overlays, write-offs, income recognition, related parties, securitisation or assignment accounting, technology access and third-party assurance. On the Risk Committee, the same person must connect those accounting judgements to appetite, collections
