We are looking for a qualified to join our Equity Compensation Solutions team, working with listed and unlisted companies, startups, and investor-backed businesses to design and structure employee stock option plans (ESOPs) and other equity-based compensation plans.

Key Responsibilities

- Advise clients on ESOPs, stock option plans, cash-settled compensation plans and related structures.
- Understand client requirements and develop suitable compensation plan models and scenarios.
- Work on applicable SEBI regulations, including LODR, ICDR, and SBEB & SE Regulations.
- Apply knowledge of the Companies Act and rules relating to share capital, board meetings and general meetings.
- Prepare client presentations, advisory documents, legal documentation and related reports.
- Coordinate with HR, Finance, Legal teams, promoters, senior management, NRC and Board members.
- Present recommendations to senior stakeholders and participate in board-level discussions.
- Conduct employee town halls and explain equity compensation plans.




- Research industry practices and provide advisory on equity-based compensation.

Required Skills

- Knowledge of SEBI regulations: LODR, ICDR, and SBEB & SE Regulations.
- Understanding of the Companies Act and corporate compliance.
- Strong analytical skills and proficiency in Excel and PowerPoint.
- Excellent communication, presentation and stakeholder management skills.
- Attention to detail and a solution-oriented approach.

Preferred Qualifications

CA, Law or Finance-related qualifications with relevant experience in ESOP advisory, corporate law, regulatory compliance or equity compensation consulting.

Preferred: Experience in consulting, ESOP plan structuring, legal documentation, accounting or taxation aspects of equity-based compensation.

Job Type: Full-time

Pay: ₹900,000.00 - ₹1,500,000.00 per year
