About the Role

PROBAY™ Limited is looking for Manager – Compliance to assist in legal, regulatory and corporate compliance matters, particularly relating to SEBI Regulations, MCA/Corporate Laws, Trademark Registration & Prosecution, and financial-market intermediaries.

Key Responsibilities

- SEBI & Securities Law Compliance

Assist in SEBI, regulatory and securities-law compliance for clients.

Conduct compliance reviews, gap analysis and prepare compliance reports.

Research and interpret SEBI Regulations, Circulars, Notifications, Master Circulars and other regulatory requirements.

Monitor regulatory changes and communicate their implications to clients.

Assist with compliance requirements relating to Investment Advisers, Research Analysts, Portfolio Managers, AIFs, Stock Brokers and other financial-market intermediaries.

Coordinate with clients and internal teams for timely completion of compliance requirements.

- MCA & Corporate Compliance

Assist in MCA/ROC-related compliances and filings under the Companies Act, 2013.

Assist in matters relating to incorporation, alteration, changes in directors/KMP, shareholding and other corporate matters.

Assist in preparation and filing of MCA e-forms and related documents.

- Trademark Registration & Prosecution





Assist in Trademark Registration and Prosecution matters before the Trade Marks Registry.

Assist in preparation and filing of trademark applications.

Assist in handling Examination Reports, Show Cause Notices, Oppositions, Counter-Statements, Evidence, Hearings and other trademark prosecution matters.

Eligibility

- B.Com/ M.Com, Semi Qualified CS.

2-5 years of experience in legal, regulatory, corporate or compliance work.

Good understanding of the Indian legal and regulatory framework.

Strong command over written English and legal research.

Candidates having experience with SEBI compliance , regulatory filings, MCA filings or trademark prosecution will have an added advantage.
