Role Description

This is a full-time remote role for a Corporate Secretary / Corporate Compliance Specialist (India, APAC & MENA). The specialist will be responsible for managing corporate secretarial, statutory, and regulatory compliance for entities across India, the broader Asia-Pacific (APAC) region, and the Middle East and North Africa (MENA), using CoverPin’s platform and related systems.

Key responsibilities include ensuring compliance with applicable corporate laws and regulatory requirements, particularly India’s Companies Act, 2013, and Ministry of Corporate Affairs (MCA) regulations, as well as corporate governance and statutory filing requirements in other APAC jurisdictions. The role involves preparing and submitting statutory filings with relevant regulatory authorities, including India’s Registrar of Companies (ROC), Singapore’s ACRA, Hong Kong’s Companies Registry, and other applicable government agencies.

The role also involves monitoring statutory deadlines, interpreting regulatory requirements, identifying compliance risks, and coordinating with clients, directors, auditors, legal advisors, and government authorities to ensure timely and accurate filings.

The specialist will leverage CoverPin’s technology to manage compliance workflows, maintain accurate entity records,

track regulatory changes, and streamline corporate secretarial processes. Additional responsibilities include supporting corporate transactions, conducting compliance reviews, resolving regulatory issues, and continuously improving internal compliance procedures and best practices.

The ideal candidate should have strong knowledge of Indian corporate law, MCA and ROC filing procedures, and corporate governance requirements, with the ability to independently manage secretarial compliance for multiple Indian entities.

Qualifications

- Mandatory India Corporate Secretarial Filing Experience: Candidates must have hands-on experience independently preparing and submitting Indian corporate secretarial filings through the MCA21 portal, including ROC annual filings (AOC-4, MGT-7/MGT-7A), director appointments and resignations (DIR-12), share allotments (PAS-3), and other statutory filings required under the Companies Act, 2013. Practical knowledge of filing procedures, documentation requirements, and regulatory deadlines is essential.
- Corporate Secretarial & Regulatory Compliance: Robust knowledge of corporate secretarial practices, statutory filings, corporate governance, and regulatory compliance, particularly in India, with familiarity across APAC and MENA jurisdictions.
- Legal & Regulatory Knowledge: Solid understanding of India’s Companies Act, 2013, MCA/ROC filing requirements, and corporate governance obligations. Familiarity with regulatory frameworks in Singapore, Hong Kong, Australia, UAE,

Saudi Arabia, and other regional markets is highly desirable.
- Corporate Governance & Entity Management: Hands-on experience managing board resolutions, meeting minutes, statutory registers, annual filings, director appointments and resignations, share allotments, beneficial ownership reporting, and entity incorporations.
- Multi-Jurisdictional Compliance: Ability to interpret regulatory requirements, assess compliance risks, monitor statutory deadlines, and coordinate corporate secretarial activities across multiple jurisdictions, including working with local legal counsel, accountants, and service providers.
- Communication & Stakeholder Management: Strong written and verbal communication skills, with the ability to collaborate effectively with clients, directors, legal teams, auditors, government authorities, and external service providers.
- Technology & Process Improvement: Experience using compliance management software, entity management platforms, or AI-powered tools is advantageous. Ability to identify opportunities for automation and improve compliance workflows is highly valued.
- Education & Professional Qualifications: A qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI) is preferred. Alternatively, a bachelor’s degree in law, business, finance, or a related field, combined with relevant corporate secretarial experience, will be considered.
- Analytical & Organizational Skills: Strong attention to detail, problem-solving abilities, and the capacity to independently manage multiple entities, regulatory deadlines, and competing priorities in a remote working environment.
