The seat in one sentence

The Board needs an independent director who can follow one operating decision across four consequences: whether the numbers remain reliable, whether leadership and incentives support the strategy, whether stakeholders can obtain fair resolution, and whether the company's technology is being used responsibly.
This is not four miniature roles assembled into one vacancy. The value of the seat is precisely the connection between them. A public-service technology contract, for example, can create revenue-recognition judgement, delivery concentration, data responsibility, workforce strain and citizen grievance at the same time. The appointee must prevent those matters from being divided into reassuring committee fragments.

Committee charter

Audit. Examine contract assets, acceptance evidence, milestone billing, receivable quality, subcontracting, capitalised development, cloud commitments and estimate-to-complete discipline. Internal audit should trace material services from source transaction through delivery, invoicing, cash and complaint,



rather than audit only departmental controls. Repeat findings, privileged-system access and manual overrides require consequence-based escalation.
NRC. Test succession for the CEO and the leaders who own technology, information security, finance, operations and key client relationships. Incentives should balance growth with cash, service continuity, control behaviour and stakeholder outcomes. The director will also contribute to board-skills renewal as the business adopts AI and more automated service models.
Stakeholders Relationship. Move beyond investor-case closure time. The committee should see recurring shareholder questions, disclosure corrections, material customer escalation and grievance root cause. Where a technology workflow affects large numbers of users, access to remedy and error correction belong in the governance conversation even when the direct contractual customer is an institution.
