About the Role
GalaxEye is looking for an experienced legal professional to manage end-to-end contract drafting, review and negotiation, with a focus on protecting the company's legal and financial interests. The role will also support financial compliance, contract risk management, and coordination with internal stakeholders to ensure robust contractual safeguards across domestic and international transactions.

Key Responsibilities
1. Contract Management & Risk Mitigation
• Draft, review and negotiate vendor, procurement, customer, satellite data licensing and sales agreements, as well as government and PSU contracts and tenders.
· Review and safeguard finance-related contractual terms, including milestone and advance payments, retention, liquidated damages, bank guarantees, performance and advance payment guarantees, letters of credit, GST, TDS, withholding taxes, DTAA, foreign exchange risk and stamp duty.
• Ensure alignment between contractual terms, purchase orders (POs), invoicing requirements and payment obligations.
• Identify legal and commercial risks and recommend appropriate safeguards relating to liability, indemnity, warranties, intellectual property, confidentiality, termination and dispute resolution.
• Develop and maintain standard contract templates, legal review processes and trackers for contractual obligations, renewals and approvals. 2. Financial Compliance & Regulatory Support
• Support and monitor applicable financial compliance requirements, with the scope defined in coordination with the Head of Finance.
• Advise the Tech Compliance team on contractual and legal matters when required.
• Ensure contracts incorporate compliance requirements and clauses provided by Tech Compliance,



including export-control, end-use and other applicable regulatory provisions.
• Support Finance in reviewing contractual tax provisions, payment structures, guarantees and other financial obligations. 3. Stakeholder Management
• Work with Finance, Tech, Partnerships and Supply Chain Management (SCM) to ensure contracts accurately reflect agreed commercial terms and business requirements.
• Coordinate with external legal counsel on complex contracts, legal notices, disputes and claims.
• Establish clear contract review and approval workflows while balancing legal risk with business requirements. Requirements Required Qualifications & Skills
• LL.
B. degree with 8–10 years of relevant in-house legal and contract management experience.
• Proven experience in drafting, reviewing and negotiating vendor, customer and government contracts, including complex commercial agreements.
• Working knowledge of finance-related contractual terms, including guarantees, letters of credit, taxation clauses, withholding taxes, DTAA and foreign exchange risks.
• Working knowledge of Indian commercial laws and relevant import-export regulations; ability to work with Tech Compliance on applicable regulatory requirements.
• Strong contract risk assessment, negotiation, stakeholder management and problem-solving skills. Preferred Experience
• Experience in space technology, aerospace, defence, electronics, manufacturing or other technology-driven industries.
• Exposure to government and PSU procurement, tenders and international commercial contracts.
• Company Secretary (CS) qualification or relevant additional skilled credentials would be an advantage.
• Associates from law firms are also preferred.
