Purpose/Objective

The Associate Manager - Mergers & Acquisitions will support the evaluation and execution of strategic investment, acquisition, joint venture, partnership, and inorganic growth opportunities for Adani Defence & Aerospace.

The role will work closely with senior leadership and cross-functional teams to assess potential transactions from strategic, commercial, financial, and operational perspectives.

Key Responsibilities of Role

- Identify and evaluate potential M&A;, strategic investment, JV, partnership, and inorganic growth opportunities in the defence and aerospace sector.
- Conduct detailed financial analysis, valuation and financial modelling, including DCF, comparable company and precedent transaction analysis.
- Support end-to-end execution of transactions, from initial opportunity assessment through due diligence, valuation, negotiation, approvals and transaction closure.
- Develop business cases, investment notes, financial models and management presentations for senior leadership.
- Coordinate financial, commercial, operational, technical, tax and legal due diligence with internal teams and external advisors.
- Analyse target companies covering financial performance, business models, market positioning, capabilities, risks and growth potential.
- Support preparation and review of term sheets,



transaction structures and commercial agreements in coordination with legal and finance teams.
- Conduct industry research and competitive benchmarking across defence, aerospace, UAVs, missiles, ammunition, electronic systems and emerging defence technologies.
- Track relevant market developments, potential acquisition targets and strategic partnership opportunities.
- Support post-acquisition integration planning, synergy assessment and tracking of value-creation initiatives.
- Work closely with Strategy, Finance, Legal, Business Development and Business Unit leadership on strategic initiatives.

Technical Competencies

Qualifications and Experience

- 5+ years of relevant experience in M&A;, Corporate Finance, Investment Banking, Transaction Advisory, Corporate Strategy, Private Equity or similar roles.
- MBA/PGDM in Finance/Strategy from a reputed institute, CA, CFA or equivalent qualification preferred.
- Solid experience in financial modelling, valuation, due diligence and transaction analysis.
- Prior exposure to defence, aerospace, manufacturing, industrial, engineering or technology sectors would be an advantage.
- Experience working on acquisitions, investments, joint ventures or strategic transactions preferred.
