Role & responsibilities
Experience in an Indian subsidiary of a foreign (ideally listed) parent, including FEMA reporting.
Direct experience with NCDs: Debenture Trustee interface, debenture-holder consents and charge management.
Governance of joint ventures, including shareholder agreements and nominee directors.
Exposure to capital-markets transactions.
Background in manufacturing, building materials or consumer durables.
Mergers and corporate actions
Debt and debt-securities governance
Preferred candidate profile CS with
810 years' post-qualification experience in secretarial and compliance roles.
Experience as Company Secretary of a listed company or of a company with listed debt securities.
Hands-on execution of at least one merger or scheme of arrangement, from structuring to implementation.
