Key responsibilities

Documentation

1. Review term sheets, definitive agreements, sanction letters, and draft, review and negotiate SHAs/SPAs, facility agreements, security documents, intercreditor and common terms arrangements, and accounts and escrow structures with PE funds, banks, financial institutions, DFIs and export credit agencies.

2. Prepare and negotiate security documents, including mortgages, hypothecation, pledges, assignments, direct agreements and sponsor support undertakings.

3. Work with external counsel, giving instructions, reviewing drafts and keeping negotiations aligned with the company's risk positions.

Transaction execution

1. Manage the conditions precedent checklist and legal closing deliverables for financial close, including corporate authorisations, approvals, charge creation and registration, and legal opinions.

2. Coordinate investor / lender legal due diligence, and align project agreements (EPC, offtake, land, O&M;, shareholder agreements) with lender requirements.

3. Work with finance teams on structuring points that need legal sign-off, such as ECB and FEMA compliance, cross-border funding, guarantees and sponsor equity commitments.

Post-closing management

1. Track covenants, reporting obligations, disbursement conditions and conditions subsequent, and advise on waivers, amendments, consents and restructuring.

2. Advise on events of default,



cure rights and lender communications.

3. Maintain a financing document repository and compliance calendar.

Regulatory and general

1. Advise on Companies Act, RBI, FEMA, SEBI and related regulatory aspects of financing transactions, including charge filings and intra-group lending.

2. Contribute to the legal workstreams of corporate and project-level transactions.

Requirements

1. LL.B. from a recognised university.

2. 8-10 years PQE in M&A;, banking and finance or project finance, either at a law firm or an in-house team, ideally in energy, power, infrastructure or renewables.

3. Direct experience on having led M&A; transactions, finance or structured debt transactions, and strong command of key facility agreement clauses (covenants, defaults, security, waterfalls).

4. Familiarity with Indian security and charge creation mechanics, and with cross-border financing rules.

5. Robust drafting, negotiation and coordination skills, with the ability to work across Legal, Finance and technical teams.

Good to have

1. Experience with Indian development finance institutions, international lenders or green and sustainability-linked loan structures.

2. Exposure to financings with offshore elements (GCC / Europe).

3. Experience with mezzanine, PIK or LC-backed structures.

4. Exposure to the Green Hydrogen/Ammonia sector
