About the Role

We are looking for a Legal Analyst / Legal Associate with hands-on experience in Mergers & Acquisitions (M&A;) and Investment Banking transactions to join our growing team in Bangalore.

The ideal candidate should have prior experience working with an Investment Bank or a Law Firm handling M&A; / Investment Banking transactions and should be comfortable working on transaction documentation, legal due diligence, deal structuring and regulatory matters.

This is a full-time, on-site opportunity to work closely with senior management, investment bankers, financial advisors and external legal counsel on complex and high-impact transactions.

Key Responsibilities

- Draft, review and negotiate Engagement Letters, Term Sheets, NDAs, SPAs, SHAs, SSAs and other transaction documents.
- Support legal due diligence for live sell-side and buy-side M&A; and investment transactions .
- Assist in negotiation strategy and manage correspondence with counterparties and their legal counsel.
- Liaise with internal teams, financial advisors and external legal counsel to ensure smooth transaction execution.




- Support regulatory and compliance matters under the Companies Act, FEMA, SEBI regulations, Contract Act and other applicable corporate laws.
- Assist with transaction structuring and documentation for investment banking mandates.
- Maintain accurate legal and transaction records.
- Track transaction timelines, documentation and legal risks to support timely deal closure.

Required Skills & Experience
- 2–3 years of relevant experience in:
- An Investment Bank , or
- A Law Firm handling M&A; / Investment Banking transactions .
- Strong hands-on experience in M&A; and Investment Banking transactions is mandatory.
- Strong drafting, reviewing, negotiation and analytical skills.
- Sound understanding of Corporate Law, Securities Regulations and Foreign Exchange Regulations .
- Good communication and stakeholder management skills.
- Ability to work in a fast-paced, transaction-driven environment.
- Immediate Joiners are preferred.
- Candidates should be comfortable working from office at Whitefield, Bangalore .
