The economic engine is inseparable from the network The Audit Committee Chair must understand how capital, customer usage, service availability, partner settlements, billing, spectrum or licence obligations, technology assets and cyber risk combine in the financial result. The Board does not need an engineer who approves network design; it needs a financial governor who can determine whether operational evidence supports the accounts and the commitments made to customers and shareholders.

Revenue and customer accounting The committee will challenge activation, usage, plans, discounts, bundled obligations, partner or interconnect settlements, unbilled positions, credits, bad debt and contract liabilities. Reconciliation between operational records, billing, collections and financial reporting should expose leakage, error and ageing. Customer disputes and complaint themes will be used to test whether recognised revenue reflects a valid service and fair treatment.

Capital and asset life

Material network and technology investment requires a retained approval baseline: demand, capacity, coverage, availability, cost, energy, operating savings and cash. Post-investment reviews should distinguish assets installed, available, used and economically productive. Useful lives, componentisation, impairment, decommissioning and restoration obligations should reflect technology and regulatory reality rather than historical convention.

Technology and resilience The Chair will link Audit and Risk around identity, privileged access, configuration, change, third-party technology, software dependencies, cyber detection, backup and recovery. Critical services should be tested end to end, including communication,

customer remedy and financial reconciliation after restoration. Recurring exceptions need root-cause and investment decisions, not rolling target dates.

Regulatory and partner obligations

Licence conditions, customer privacy, lawful processes, quality-of-service commitments and vendor or tower/infrastructure dependencies create financial and reputational exposure. The committee will seek assurance over reporting completeness, payment or settlement accuracy, audit rights and exit feasibility. Management must make explicit where the company relies on evidence supplied by another party.

NRC contribution

As an NRC member, the director will participate in succession for finance, technology, security, operations and regulatory leadership. Reward should balance growth with cash, service reliability, customer trust and control. The Board should understand scarce technical and regulatory dependencies before a resignation or incident reveals them.

Chair's first two cycles The appointee will first trace one customer revenue stream from service event to cash and complaint. The second review will compare a material capital programme's approval case with availability, utilisation and realised economics. These reviews will set the risk-based assurance plan.

Experience required

Candidates may be communications or infrastructure CFOs, audit partners, technology-business leaders, CROs or executives who have governed large customer platforms and capital networks. Prior Audit Committee chair experience is strongly preferred. Appointment requires independence, DIN, databank compliance and readiness for quarterly reporting, technology deep-dives and incident availability.
