When the buyer does not want to directly complete the transaction with the seller, and the seller does not want to transfer the asset before all agreed conditions are fulfilled, an Escrow Agent comes into the picture.
The Escrow
Agent holds the money, shares, property documents, securities, or other agreed assets on behalf of the parties and enters into an Escrow Agreement that clearly defines the terms, conditions, responsibilities, and release mechanism. Once the seller completes the agreed conditions and the required requirements are fulfilled, the Escrow Agent releases or transfers the funds or assets to the respective party as specified in the agreement.

Roles & Responsibilities – Escrow Legal:
1. Draft, review and negotiate Escrow Agreements and related legal documents.
2.
Review transaction structures and identify legal and contractual requirements.
3. Ensure escrow arrangements comply with applicable laws, regulations and internal policies.
4. Review rights, obligations, conditions precedent and fund-release mechanisms.
5. Coordinate with clients, banks, counterparties and internal teams on legal matters.
6. Conduct legal due diligence on documents, parties and transaction requirements.
7. Advise the Operations team on interpretation of Escrow Agreements and transaction instructions.
8.Review amendments, addendums, notices and other transaction-related documentation.
1. Identify and highlight legal risks, disputes and potential breaches.
2. Maintain proper records of agreements and ensure timely execution and closure of legal documentation.
