About the RoleWe are looking for a skilled and detail-oriented Corporate Lawyer to manage the company's legal matters, ensure regulatory compliance, draft and review contracts, and provide legal guidance to management. The ideal candidate should have a solid understanding of corporate law, commercial agreements, legal documentation, and risk management, with the ability to protect the company's legal and business interests.

- Key Responsibilities1. Corporate Legal AffairsProvide legal advice to management on corporate matters, business transactions, and legal risks.
- Draft, review, and negotiate commercial agreements, vendor contracts, service agreements, NDAs, and other legal documents.
- Ensure that company policies and business operations comply with applicable laws and regulations.
- Advise on corporate governance, contractual obligations, and legal rights and responsibilities.
- Identify potential legal risks and recommend appropriate solutions.
- 2. Contract ManagementPrepare, review, and finalize agreements with clients, vendors, suppliers, and business partners.
- Examine contractual terms and conditions to safeguard the company's interests.
- Maintain a centralized repository of contracts, agreements, and other legal documents.
- Monitor contract renewals, expiry dates, and compliance with contractual obligations.
- Support contract negotiations and resolve contractual disputes.
- 3. Regulatory ComplianceMonitor applicable corporate laws, rules, and regulatory requirements.
- Assist with compliance under the Companies Act, 2013,



and other applicable legislation.
- Coordinate with the Company Secretary, Chartered Accountant, and external legal advisors on statutory compliance matters.
- Support documentation and filings with relevant regulatory authorities, as applicable.
- Track changes in laws and regulations that may affect business operations.
- 4. Legal Documentation and Risk ManagementDraft legal notices, responses, declarations, undertakings, and other corporate legal documents.
- Review business proposals and transactions from a legal perspective.
- Conduct legal research and prepare legal opinions, reports, and risk assessments.
- Maintain accurate records of legal correspondence, agreements, and disputes.
- Develop and improve internal legal documentation and contract-management processes.
- 5. Dispute Resolution and External CoordinationAssist in resolving contractual disputes through negotiation, mediation, or other appropriate processes.
- Coordinate with external advocates, law firms, and legal consultants when required.
- Monitor legal proceedings and maintain records of ongoing cases.
- Support litigation management and ensure timely follow-up on legal matters.
- Eligibility CriteriaBachelor's degree in Law (LL.B.) from a recognized university.
- 2–5 years of experience in corporate law, commercial contracts,



or an in-house legal department preferred.
- Strong knowledge of corporate law, contract law, and applicable Indian legal frameworks.
- Experience in drafting, reviewing, and negotiating commercial agreements.
- Understanding of corporate governance, regulatory compliance, and legal risk management.
- Excellent legal research, analytical, negotiation, and communication skills.
- Proficiency in MS Office and digital legal research tools.
- High standards of professional ethics, confidentiality, and attention to detail.
- Preferred QualificationsExperience working with a company as an in-house legal counsel or corporate lawyer.
- Familiarity with the Companies Act, 2013, the Indian Contract Act, 1872, and other applicable commercial laws.
- Exposure to vendor agreements, client contracts, employment agreements, NDAs, and service-level agreements.
- Experience coordinating with external counsel, auditors, and compliance professionals.
- Understanding of data protection, intellectual property, and employment-related legal matters.
