Key Responsibilities

● Handle corporate restructuring initiatives, post-merger integrations,



private placement of Non-Convertible Debentures (NCDs), and rights issues.

● Support equity fund-raising processes and oversee organizational due diligence activities.

● Manage the ESOP scheme, addressing queries and maintaining full statutory compliance.

● Ensure end-to-end legal compliance and enforce obligations under Shareholders’ Agreements.

● Ensuring governance related compliances of an entity regulated by RBI.

● Convene Board, Committee, and Shareholders’ meetings, including preparation of agendas, meeting packets, and statutory records.

● Address and resolve queries from foreign investors and key shareholders efficiently.

● File required statutory forms under the Companies Act and FEMA (e.g., FLA return, Downstream Investment, FIFP forms).

● Prepare Corporate Action Forms with the RTA and facilitate dematerialization of shares.

● Ensure strict adherence to Secretarial Standards, the Companies Act, and other applicable corporate governance laws.

● Provide prompt updates and legal inputs to Finance, Tax, and business units.

● Partner with executive leadership, auditors, investors, and regulatory bodies to ensure smooth execution.

● Manage end-to-end regulatory correspondence, drafting precise responses to regulatory queries.

● Facilitate timely preparation, submission, and approval of regulatory applications.

● Liaise with regulators and external legal advisors effectively.

Requirements & Profile

Qualifications

● Qualified Company Secretary and member of ICSI.

● 6+ years of post-qualification experience as a CS in a corporate setup or leading law/secretarial firm.

● Bachelor of Laws (LLB) degree is highly preferred.

● Strong practical expertise in Companies Act, Secretarial Standards, and FEMA regulations.

● Demonstrated experience in debt and equity capital raising activities.

● Exceptional attention to detail and high accuracy in documentation and compliance.

● High ownership, transparency, accountability, and strong stakeholder management skills.
