## About the Role

Maemo Capital is looking for an experienced and strategic Chief Financial Officer (CFO) to lead the company's financial operations, treasury management, fundraising, and financial planning. The candidate will be responsible for overseeing the Accounts, Treasury, and Company Secretary (CS) teams, ensuring strong financial governance, regulatory compliance, and effective financial management to support the company's growth.

## Key Responsibilities

### 1. Accounts & Financial Management

- Oversee the company's accounting, financial reporting, and financial control functions.
- Ensure timely preparation of financial statements, monthly closures, and management information reports (MIS).
- Lead budgeting, forecasting, cash flow planning, and financial performance analysis.
- Manage taxation, statutory audits, internal audits, and coordination with external auditors.
- Strengthen financial controls, accounting processes, and reporting systems.

### 2. Treasury Management
- Lead treasury operations, liquidity management, and working capital optimization.
- Monitor cash flows, fund utilization, borrowing costs, and Asset-Liability Management (ALM).
- Manage relationships with banks, financial institutions, lenders, and other financial partners.
- Optimize the company's capital structure and cost of funds.
- Ensure effective planning and deployment of funds to meet business requirements.

### 3. Fundraising & Capital Management
- Lead fundraising initiatives through banks, financial institutions, debt markets, and other suitable funding channels.
- Build and maintain robust relationships with lenders, investors, and financial partners.
- Drive debt financing, credit facilities,



and other capital-raising initiatives.
- Negotiate funding terms and ensure the timely availability of funds to support business expansion.

### 4. Company Secretary & Corporate Governance
- Oversee and guide the Company Secretary (CS) team on corporate governance and statutory compliance.
- Ensure timely completion of ROC filings, statutory returns, board meetings, and shareholder-related compliances.
- Monitor compliance with the Companies Act, applicable RBI regulations, and other relevant regulatory requirements.
- Ensure proper maintenance of statutory registers, corporate records, and board documentation.
- Coordinate with the Board of Directors, auditors, legal advisors, and regulatory authorities as required.

### 5. Regulatory Compliance & Risk Management
- Ensure adherence to applicable RBI regulations, NBFC guidelines, and statutory requirements.
- Oversee financial risk management, internal controls, and governance frameworks.
- Coordinate with internal and external auditors on financial and regulatory matters.
- Identify compliance gaps and implement corrective measures.

### 6. Strategic Financial Leadership & Team Management
- Lead, manage, and mentor the Accounts, Treasury, and Company Secretary teams.
- Define team responsibilities, performance objectives, and reporting mechanisms.
- Collaborate with the Managing Director/CEO and senior leadership on business strategy and financial decision-making.
- Provide insights on profitability, financial sustainability, liquidity, and business expansion.
- Establish financial policies, processes, and controls to support scalable growth.

## Required Qualifications & Experience
- 25+ years of overall experience in finance, accounting, treasury, and financial management.
- CA or CMA qualification preferred.
- Significant experience in an NBFC or financial services organization is essential.
- Strong expertise in accounts, treasury operations, fundraising, and lender relationship management.
