Designation: General Manager – Legal & Company Secretary

We are looking for an experienced and dynamic professional to lead its Legal, Corporate Secretarial and Compliance functions.

Key Responsibilities:

- Lead the overall corporate secretarial, legal and regulatory compliance functions of the organisation.
- Manage mergers, demergers, amalgamations and corporate restructuring, including end-to-end execution of NCLT-approved schemes.
- Advise the Board, senior management and promoters on corporate governance, legal matters and regulatory requirements.
- Ensure compliance with the Companies Act, SEBI regulations, FEMA, RBI guidelines and other applicable laws.
- Manage Board, Committee and Shareholder Meetings, including agendas, notices, minutes and statutory filings.
- Oversee legal documentation, drafting, vetting and negotiation of commercial contracts, agreements, MOUs and other business arrangements.
- Handle liaison with MCA, ROC, RBI, NCLT, SEBI and other regulatory authorities.
- Manage litigation,



legal disputes, due diligence and risk mitigation.
- Oversee fundraising, investment transactions, shareholder agreements and other corporate financial transactions.

Candidate Profile:

- Qualified Company Secretary (CS) and Law Graduate (LLB) — both mandatory.
- 15–18 years of relevant professional experience in Legal and Company Secretarial functions.
- Strong and demonstrable experience in mergers/demergers and NCLT-led restructuring transactions.
- Experience in handling Board-level matters, corporate governance and regulatory compliance.
- Robust understanding of FEMA, RBI, SEBI and Companies Act requirements.
- Prior experience in a manufacturing, industrial or diversified business group will be preferred.
- Excellent leadership, negotiation and stakeholder management skills.

Important: Candidates must have hands-on experience in completed merger/demerger transactions. General exposure to M&A; or restructuring alone will not suffice.
