About the Opportunity

We are seeking an accomplished Chief Legal Officer (CLO) for a fast-growing, founder-driven investment platform operating in the Category II Alternative Investment Fund (AIF) and private credit space.

This is a strategic leadership opportunity for a legal professional with strong expertise in investment transactions, fund structuring, regulatory compliance and corporate legal advisory.

The incumbent will work closely with the founders and senior leadership, providing legal oversight across investment activities, fund operations, strategic partnerships and domestic and cross-border transactions.

Key Responsibilities

1. Investment Transactions & Legal Structuring

- Lead legal due diligence, documentation, negotiation and execution of private credit and investment transactions.
- Structure and review financing arrangements, security documents, shareholder agreements and other investment-related contracts.
- Advise on transaction risks, enforceability, contractual protections and exit mechanisms.
- Support domestic and cross-border investment structures and strategic transactions.

2. Fund Structuring & Regulatory Compliance

- Provide legal advisory on SEBI AIF regulations, fund formation, operations and governance.
- Oversee legal documentation relating to fund launches, investor onboarding, commitments and distributions.
- Advise on applicable Companies Act, FEMA, RBI and other relevant regulatory requirements.




- Coordinate with compliance teams and external advisors to ensure adherence to applicable laws and regulations.

3. Corporate Legal & Governance

- Lead legal review and negotiation of commercial contracts, strategic partnerships and corporate arrangements.
- Advise leadership on corporate governance, regulatory exposure and legal risk mitigation.
- Support entity structuring, restructuring, joint ventures and expansion initiatives.
- Establish legal policies, documentation standards and effective contract management practices.

4. Dispute Resolution & Risk Management

- Manage litigation, arbitration, regulatory proceedings and contractual disputes.
- Oversee external legal counsel and ensure commercially effective legal strategies.
- Identify and proactively mitigate legal, contractual and regulatory risks.
- Support recovery, enforcement and resolution strategies for investment-related matters.

5. Strategic Leadership

- Act as a trusted legal advisor to founders, investment teams and senior management.
- Balance legal safeguards with commercial objectives and transaction timelines.
- Build scalable legal governance frameworks to support business growth.
- Manage relationships with external counsel, regulators and other relevant stakeholders.

Candidate Requirements

- LL.B. from a recognised institution; LL.M.,



CS or other relevant qualifications would be advantageous.
- 12–18 years of progressive legal experience, with significant exposure to financial services, investment transactions or fund management.
- Robust preference for candidates from AIFs, private credit funds, private equity, investment management firms, NBFCs or leading law firms specialising in financial transactions.
- Demonstrated expertise in transaction documentation, investment structuring, legal due diligence and regulatory advisory.
- Working knowledge of SEBI regulations, Companies Act, FEMA, RBI regulations and applicable corporate laws.
- Exposure to cross-border structures and international transactions would be advantageous.
- Strong negotiation, stakeholder management and commercial decision-making capabilities.
- Ability to work independently in a fast-paced, entrepreneurial and high-accountability environment.
