About the role
KeyValue is hiring an in-house corporate lawyer to own commercial contracting and intercompany legal structure across our five operating jurisdictions. You will draft and negotiate client deals end to end, keep IP ownership clean, and build the templates and playbooks that let the business close faster with less risk. You will work closely with leadership, Finance/Tax, and external counsel worldwide.
Key responsibilities
Commercial contracts
- Draft, review and negotiate software services agreements (MSAs, SOWs, SaaS and licensing agreements) for clients in India and abroad.
- Negotiate redlines directly with client legal and procurement teams.
- Draft NDAs, vendor agreements, and partnership/reseller agreements.
Intellectual property
- Draft IP assignment and IP licensing agreements.
- Ensure clean IP ownership and transfer across employees, contractors and client work-for-hire arrangements.
- Draft confidentiality and IP clauses in employment contracts.
Intercompany and cross-border structure
- Structure and draft intra-group service agreements between parent and subsidiaries in India, Singapore, Dubai, Australia and the US.
- Incorporate commercial and pricing inputs provided by Finance and external advisors into intercompany agreements.
- Coordinate with local law firms in each jurisdiction for jurisdiction-specific validation and compliance.
Data privacy
- Advise on data protection and cross-border transfer clauses under India's DPDP Act, Singapore's PDPA and GDPR-adjacent terms where relevant.
Risk, process and governance
- Identify and flag legal and commercial risk to leadership, with clear recommendations.
- Build and continuously improve a contract templates library and negotiation playbook for common deal types.
- Track contract renewals, obligations and compliance calendars across all entities.
What we're looking for Must-haves
- LLB from a reputed law school; enrolled with a State Bar Council in India.
- 5 to 8 years of commercial/corporate experience at a law firm, in-house at a tech or IT services company, or both.
- Robust drafting and negotiation of MSAs, SOWs, SaaS/licensing and IP agreements with international counterparties.
- Working knowledge of Indian contract, IP and employment law, and of DPDP Act obligations.
- Experience managing external counsel across multiple jurisdictions.
- Commercial judgement: you frame risk in business terms and know when to hold and when to concede.
- Clear written communication and the ability to work independently with senior leadership.
Highly desirable
- Exposure to Singapore, UAE(including DIFC/ADGM), Australian or US commercial law and data protection regimes (PDPA, GDPR).
- Experience setting up contract templates, playbooks or a contract lifecycle management (CLM) tool.
Why join KeyValue
- Build the legal function's foundations in a growing global tech services company.
- Direct access to leadership and real ownership of deals across five jurisdictions.
- Broad, high-variety work: commercial, IP, privacy, intercompany and tax-adjacent structuring.
