Location: Mumbai | A listed Infrastructure Investment Trust (InvIT) | Reports to: CEO

We're partnering with a leading listed InvIT to hire a senior governance leader. This person will be the main governance and compliance partner to the Board and senior management.

The Role

This is a senior management role. You'll lead the company secretarial, corporate governance and regulatory compliance work for the InvIT and its Investment Manager, and you'll be the main link between the Board, Trustee, Sponsor, Investment Manager, Unitholders and regulators (SEBI, the Stock Exchanges, MCA and the Depositories).

What You'll Do

- Advise the Board, Committees and senior management on the SEBI InvIT Regulations, SEBI LODR, the Companies Act, 2013 and other securities laws
- Build and strengthen a solid compliance and governance framework that keeps pace with changing regulations
- Advise on related party transactions, conflicts of interest, independence requirements and stakeholder rights




- Make sure the Board and its Committees work well and that Directors get the information they need
- Spot regulatory and governance risks early and recommend ways to manage them
- Oversee investor relations and unitholder governance

What We're Looking For

- Qualified Company Secretary (ICSI). A degree in Law or Corporate Governance is a plus
- 15–20 years of post-qualification experience in secretarial, governance and compliance roles
- Experience in a listed company, InvIT, REIT, infrastructure, financial services or other SEBI-regulated entity is a must.
- Strong hands-on experience with Board and Committee processes, stock exchange compliances, regulatory filings and investor communications
- Experience leading a secretarial or compliance team and working closely with the Board and outside stakeholders
