Position: Manager / Senior Manager Role Overview We are looking for an experienced professional with strong expertise in M&A;, corporate restructuring, transaction advisory and tax due diligence. The candidate will be responsible for advising clients on complex restructuring transactions, evaluating tax and regulatory implications, managing transaction documentation and supporting business development initiatives.

Key Responsibilities
• Client Delivery – M&A; and Corporate Restructuring
• Draft and review client deliverables, including reports, proposals, tax opinions, advisory notes, presentations and correspondence.
• Identify and evaluate restructuring options based on clients' commercial objectives.
• Assess transaction-related issues and recommend appropriate solutions.
• Undertake detailed fiscal and regulatory reviews covering Direct Tax, Company Law, SEBI, FEMA, Stamp Duty, accounting and commercial implications.
• Review transaction documents, including Business Transfer Agreements, Share Purchase Agreements, Subscription Agreements, Trust Deeds and Asset Purchase/Sale Agreements.
• Lead implementation of schemes of arrangement, including mergers, demergers and capital reductions, covering scheme drafting, applications, petitions, notices and NCLT hearings.
• Conduct buy-side and sell-side tax due diligence of target companies.
• Draft and review documentation for corporate actions, including issuance of securities and buybacks.
• Business Development Support
• Prepare proposals, pitch presentations and engagement letters.
• Support Partners and Principals in identifying new business opportunities and potential client acquisitions.
• Identify cross-selling and service expansion opportunities with existing clients.
• Develop industry knowledge and identify potential restructuring opportunities.
• Manage engagement documentation, invoicing and payment follow-ups.
• Research and Technical Advisory




• Conduct comprehensive technical and regulatory research to address client requirements.
• Provide technical inputs and solutions on complex restructuring and transaction advisory matters.
• Participate in technical training sessions and knowledge-sharing initiatives.
• Leverage internal and external research databases to deliver quality advisory services.
• People and Team Management
• Lead and mentor team members, ensuring effective task allocation and timely delivery.
• Conduct regular team discussions to identify individual strengths and development areas.
• Coach and mentor Article Trainees and junior professionals.
• Promote a cooperative working environment and uphold the organisation's values.
• Knowledge Management
• Maintain and regularly update the knowledge management database.
• Share regulatory updates, industry developments and best practices with team members.
• Develop technical content for external seminars, networking events and industry forums.
• Build sector-specific knowledge and contribute to the team's technical expertise. Desired Candidate Profile
• Strong experience in M&A;, Corporate Restructuring and Transaction Advisory.
• Good understanding of Direct Tax, Company Law, SEBI, FEMA and regulatory aspects of restructuring.
• Hands-on experience in scheme of arrangements, mergers, demergers and NCLT proceedings.
• Experience in reviewing transaction documents and conducting tax due diligence.
• Strong drafting, research, analytical and client management skills.
• Exposure to business development, team management and mentoring. Qualification Chartered Accountant (CA) – Qualified. Preferred Experience Relevant experience in M&A;, Transaction Advisory, Corporate Restructuring or Tax Advisory within a reputed consulting or professional services firm.
