Job Summary

We are seeking a highly experienced and commercially oriented Senior Legal Manager to oversee and manage the organization's corporate, commercial, transactional, intellectual property, litigation and regulatory legal matters.

The ideal candidate will possess robust expertise in legal drafting, contract negotiation, corporate transactions, compliance management and dispute resolution. The role requires the ability to work independently and collaborate with cross-functional teams to provide strategic, practical and business-oriented legal solutions.

Key Responsibilities

1. Corporate & Commercial Legal Advisory

- Provide strategic legal advice on corporate, commercial and operational matters.
- Identify legal risks and recommend appropriate mitigation strategies.
- Support business teams in transaction structuring, governance and commercial negotiations.

2. Contract Drafting & Negotiation

- Draft, review and negotiate franchise, licensing, revenue-sharing, vendor, client, MSA, SLA, manufacturing and partnership agreements.
- Review contractual terms, identify potential risks and ensure appropriate legal safeguards.
- Manage contract documentation and execution processes.

3. Corporate & Strategic Transactions

- Handle Shareholders' Agreements, Joint Venture Agreements, MOUs and investment-related documentation.
- Manage equity/warrant agreements and corporate restructuring documentation.
- Provide legal support for strategic business transactions.

4. Intellectual Property & Litigation Management

- Manage trademark-related matters, licensing and intellectual property protection.
- Handle legal notices,



disputes and litigation matters.
- Coordinate with external legal counsel and manage ongoing court proceedings.

5. Legal Compliance & Process Management

- Develop and implement legal SOPs, compliance procedures and contract management frameworks.
- Monitor applicable legal and regulatory requirements.
- Conduct legal awareness sessions and guide internal business teams.

Required Qualifications & Skills

- LL.B. degree from a recognized university.
- LL.M. or additional legal qualifications will be an advantage.
- 7–8 years of relevant experience in corporate, commercial, in-house legal or law firm environments.
- Strong expertise in contract drafting, review, negotiation and risk assessment.
- Good understanding of corporate and commercial laws, contract law, intellectual property, dispute resolution and regulatory compliance.
- Hands-on experience managing complex commercial and strategic transactions.
- Strong negotiation, communication and stakeholder-management skills.
- Experience coordinating with external legal counsel and handling litigation matters.
- Ability to independently manage multiple assignments and work within tight deadlines.
- Strong commercial understanding, attention to detail and ownership.

The ideal candidate should be proactive, detail-oriented and capable of independently managing the organization's legal function while aligning legal strategies with business objectives.

Candidates with strong in-house corporate legal experience and hands-on commercial contract negotiation exposure are preferred.
