1. Role Overview Job Title: Chief Financial Officer

Reports To: Chief Executive Officer and Board of Directors

Location: Sriperumbudur, Close to Chennai

Role Summary: Lead the overall financial strategy, corporate restructuring, statutory compliance, and capital markets preparation as the company transitions from a high-growth private limited entity to a publicly listed corporation.

2. Key Responsibilities & IPO-Specific Mandates IPO Readiness & Capital Restructuring: Spearhead the end-to-end IPO preparation process, including financial clean-ups, Ind-AS compliance, share capital restructuring, and conversion/migration of the private company into a public-ready corporate structure.

Financial Reporting & Controllership: Oversee accurate, timely monthly, quarterly, and annual financial closes, audited financial statements, and internal financial controls (IFC) mandatory for public stock exchanges.

Due Diligence & Merchant Banker Coordination: Act as the primary financial liaison for book-running lead managers (BRLMs), legal counsel, auditors, and regulators during the Red Herring Prospectus (RHP) and IPO filing stages.

FP&A; and Strategic Modeling: Build robust Financial Planning & Analysis (FP&A;), unit economics, and multi-year valuation/growth models to present to institutional investors and analysts.

Investor Relations (IR) & Fundraising: Establish the Investor Relations function, craft the investment narrative, manage pre-IPO roadshows, and handle institutional investor queries.

Risk Management & Governance:



Implement corporate governance standards, enterprise risk management frameworks, and board-level audit committee reporting lines.

Treasury & Working Capital: Optimize cash flow management, debt-equity ratios, and post-IPO fund utilization tracking.

3. Required Qualifications & Credentials Education: Masters degree in Finance, Accounting, or MBA from a tier-1 institute; undergraduate degree in Commerce, Economics, or Accounting.

Certifications: Qualified Chartered Accountant (CA) / CPA / CFA strongly preferred.

Experience: 12+ years of progressive corporate finance and accounting experience, with at least 5+ years in a senior leadership/CFO capacity within a scaling or pre-IPO company.

Technical Track Record: Demonstrated, hands-on experience leading or closely participating in a company's IPO journey, M&A; transactions, or large private equity/debt raises.

Regulatory Mastery: Deep familiarity with national/international accounting standards (Ind-AS / GAAP), SEBI/stock exchange regulations, and corporate tax laws.

4. Key Performance Indicators (KPIs) Audit & Close Speed: Reduction in monthly/annual financial closing cycle times with zero audit qualifications.

Forecast Accuracy: Variance within less than 5% between projected annual/quarterly budgets and actual performance.

IPO Milestone Adherence: Strict compliance with the pre-IPO due diligence and filing timeline set by legal and merchant banking partners.

Internal Control Score: Clean internal control audit and remediation of legacy compliance gaps.
