Moving mobility forward We are Aptiv - a technology company with a proven history of enabling mobility Operating as Delphi we pioneered advances in the industry Now as Aptiv we re more dedicated than ever to bringing the next generation of autonomous vehicles smart cities and connectivity to life Join our innovative team Want to do more than just imagine the ways our world will move tomorrow Here s your opportunity Join the technology company that s transforming the future of mobility today About Aptiv Aptiv is an advanced technology company with a proven history of enabling mobility We re dedicated to bringing the next generation of autonomous vehicles smart cities and connectivity to life About Position Position Title Legal Counsel India Report to Legal Director India SCOPE AND RESPONSIBILITIES Based in Chennai this is a position which will ensure secretarial compliance with the Companies Act 2013 and other secretarial regulations Also this position will provide legal support to India Legal Director and APAC Legal team such as giving legal advice reviewing commercial contracts etc Key responsibilities will be to Conducting Board Meetings Annual Extra Ordinary General Meeting and drafting of Minutes Agenda and other secretarial documents Drafting and vetting of Minutes of meeting Agenda Director Report and Annual Report and respective alterations thereto Filing registering any company s documents including forms returns and applications by and on behalf of the company as an authorized representative Maintenance of secretarial records statutory books and registers Tasks relating to transfer conversion induction and distribution of securities of difference classes including issuance of dividends and its related compliances Liaising with ROC Assisting and advising local management in legal compliance under Companies Act and Procedures Negotiate draft and review commercial agreements including development and licensing Participate in corporate transactions including managing joint venture partners and mergers acquisitions Advise Human Resources and Finance teams Provide necessary training to Aptiv employees on legal and compliance topics Support compliance function to conduct internal review and investigation where needed As a Key Managerial Personal KMP under the Companie s Act oversee the statutory compliances and report to the board about the status of the same Other tasks that are assigned by line manager EXPERIENCE The successful candidate will have 5 - 7 years of secretarial corporate governance and preferably commercial legal experience gained in a law firm and or in-house at a local or multinational company in India S he is mature and able to work independently and as a team Fluent English language skill without a strong accent is required Familiarity with the automotive industry is desired Previous experience with IP matters is a plus PERSONAL ATTRIBUTES The Legal Counsel will be capable personable and able to work with great flexibility S he must have high integrity with the ability to interact effectively at all levels including senior management regulatory bodies and clients in India The successful candidate will have Ability to expeditiously identify and assess issues and provide legally sound recommendations consistent with valuable business practices and reason Ability to work independently take ownership of and effectively resolve problems Strong interpersonal skills and ability to interact effectively work diplomatically and foster relationships with individuals at all levels EDUCATION Good academic records with Associate of Company Secretary ACS qualifications a law degree in India will be advantageous Apply today and together let s change tomorrow LI-SV2 Privacy Notice - Active Candidates Aptiv is an equal employment opportunity employer All qualified applicants will receive consideration for employment without regard to race color religion national origin sex gender identity sexual orientation disability status protected veteran status or any other characteristic protected by law
