About the Role

Our Client is seeking an experienced and business-oriented Legal Manager to support and drive legal, compliance, contracting, governance, and risk management functions across its global SaaS, Digital Transformation, and IT Services business.

This role requires a commercially minded legal qualified with strong experience in technology contracting, data privacy, corporate governance, regulatory compliance, and stakeholder management. The ideal candidate will act as a trusted advisor to business leaders while ensuring legal and regulatory compliance across multiple jurisdictions.

Experience in IT Services, Technology Services, SaaS, Software Products, or Digital Engineering organizations is mandatory Key Responsibilities

Commercial Contracting & Legal Advisory

Lead drafting, review, negotiation, and execution of complex commercial agreements, including:

Master Services Agreements (MSAs)

Statements of Work (SOWs)

SaaS Agreements

Software Licensing Agreements

Data Processing Agreements (DPAs)

NDAs

Vendor & Procurement Contracts

Partnership & Alliance Agreements

Customer Contracts

Partner closely with Sales, Delivery, Procurement, HR, Finance, Product, and Information Security teams to enable business growth while managing legal risk.

Provide practical, business-focused legal guidance on contractual, operational, and commercial matters.

Compliance, Governance & Risk Management

Support and strengthen corporate governance frameworks and compliance programs.

Ensure compliance with applicable laws and regulations, including:

GDPR

HIPAA

Indian Data Protection Laws

IT Act

International data privacy regulations

Support compliance initiatives related to:

ISO 27001

ISO 27701

Information Security & Privacy Audits

Customer Compliance Reviews





Conduct legal risk assessments and recommend mitigation strategies.

Intellectual Property & Corporate Legal

Manage intellectual property matters including trademarks, copyrights, licensing, and IP protection initiatives.

Support corporate legal activities, board documentation, policy development, and regulatory filings as required.

Coordinate with external legal counsel across India, North America, Europe, and other jurisdictions.

Contract Lifecycle & Process Management

Own end-to-end contract lifecycle management.

Drive legal process improvements, automation initiatives, and CLM adoption.

Maintain legal repositories, compliance trackers, governance dashboards, and management reporting.

Establish legal best practices, templates, playbooks, and standard operating procedures.

Leadership & Stakeholder Management

Act as the primary legal business partner for key stakeholders.

Mentor and guide junior legal professionals and contract specialists.

Support strategic initiatives, M&A; due diligence, customer audits, and enterprise transformation programs as required.

Mandatory Requirements

IT Services / SaaS Experience (Non-Negotiable)

8–15 years of legal experience.

Minimum 5+ years supporting IT Services, SaaS, Software Product, Digital Engineering, Technology Consulting, or Managed Services organizations.

Demonstrated experience handling global technology contracts and commercial negotiations.

Technology Contracting Expertise

Robust experience independently negotiating and managing complex technology agreements.

Understanding of software licensing, cloud services, managed services,



outsourcing, and digital transformation engagements.

Experience supporting cross-border commercial transactions.

Compliance & Regulatory Knowledge

Strong understanding of

GDPR

HIPAA

Data Privacy Regulations

IT Act

Technology Risk & Compliance

Exposure to ISO frameworks and information security compliance preferred.

Leadership Capability

Experience working directly with senior business stakeholders.

Ability to balance legal risk with commercial objectives.

Proven capability to manage multiple priorities in a fast-paced environment.

Qualifications

LLB from a recognized university (Mandatory)

LLM preferred

CS qualification will be an added advantage

Experience with CLM platforms and legal automation tools preferred
